Role Overview
We are seeking a Legal Counsel, Commercial & Operations professional who thrives in a dynamic, fast-paced SaaS environment. This role blends hands-on commercial contracting with legal operations enablement — helping the business teams of Technosylva and its affiliates in North America and Europe move quickly while ensuring compliance and consistency.
You’ll handle the end-to-end contracting process for SaaS deals, collaborate with internal stakeholders across Sales, Finance, and Product, and drive the adoption of legal technology and AI tools to streamline workflows. This is a unique opportunity for a pragmatic, business-minded legal professional who wants to build scalable systems — not just manage risk.
Responsibilities
- Draft, review, and negotiate a variety of commercial agreements, including SaaS subscription agreements, NDAs, DPAs, partner agreements, and vendor contracts.
- Support cross-functional teams (Sales, Customer Success, Finance, Product) in structuring deals and resolving contracting issues efficiently.
- Implement and maintain scalable contract management and legal AI tools to improve turnaround time and consistency.
- Develop templates, playbooks, and process improvements to standardize contracting and reduce friction for business teams.
- Support corporate governance, compliance, and data privacy initiatives as the company expands globally.
- Manage contract reporting, and data tracking to provide visibility into contract status and key metrics.
- Partner with leadership to identify legal risks and provide proactive, solution-oriented guidance.
- Serve as a connector between the legal function and the rest of the organization — ensuring alignment, transparency, and trust.
Requirements
- JD degree and active license to practice in at least one U.S. jurisdiction.
- 5–7 years of experience in commercial contracting in a SaaS or technology environment.
- Strong understanding of SaaS deal structures, subscription models, and data privacy considerations (e.g., GDPR, CCPA).
- Experience building or managing legal operations functions, including process design and AI-powered legal tools.
- Excellent communication and collaboration skills with the ability to translate legal language into business terms.
- Self-starter who enjoys taking ownership and making a meaningful impact in a nimble organization.
- (Preferred) Experience working with international teams and cross-border agreements.
