About the Role

Tricentis is looking for a high-performing Legal Counsel to join our APAC Legal team and have an immediate impact. This position will require you to possess excellent business judgment, strategic outlook, and critical thinking, as well as the ability to perform independently and cross-functionally and demonstrate flexibility in a collaborative, dynamic team environment.

The successful candidate will be able to prioritize and drive multiple initiatives to conclusion independently and in a timely manner; possess strong persuasion, negotiation and collaboration skills, as well as excellent communication (oral and written) and presentation skills; and bring an open, curious mindset toward the exploration and use of legal technologies, including AI-enabled tools..

To be successful in this role the person should be self-motivated, self-reliant, and confident; and have a good sense of humor coupled with the ability to adapt to a dynamic and exciting environment.  

What You’ll Do

  • Provide legal advice and support primarily to sales and procurement organizations.

  • Draft, review and negotiate all types of software licensing, SaaS and associated AI terms, and services contracts including non-disclosure agreements (NDA), licensing/professional services agreements/order forms, and partner agreements.

  • Assist with strategic corporate transactions including acquisitions and special projects as needed.

  • Perform responsibilities in compliance with company policies, procedures and playbooks to ensure efficiency and consistency of global legal and contracting operations.

  • Assist with general corporate, corporate governance and intercompany matters related to APAC subsidiaries.

  • Handling associated customer/sales partner requests, including preparation/reviewing of customer/partner order forms.  

  • Entering and maintaining data in the internal customer management system. 

  • Provide legal review and advice in vendor contract negotiations.  

  • Assisting department staff with various contract related projects. 

  • Provide continuous improvement of cross-team education and guardrails, playbooks, contract templates, and legal processes. 

  • Contribute to legal operations initiatives, including the evaluation, adoption and optimization of legal technology and AI-enabled tools to improve the efficiency and scalability of the legal function.

  • Facilitate all aspects of the contract lifecycle, leveraging contract lifecycle management and other legal technology platforms, including managing and administrating contracts management application and other business applications, contract generation, non-standard term approval, contract signature and close and archiving.

  • Interpret and assess our own and 3rd party agreements, using legal technology and AI-enabled tools where appropriate, and quickly identify the issues that need either a business or legal decision.

  • Assist with other legal projects as needed.

Who You Are

Skills: 

  • Strong English language skills. 

  • Excellent analytical, organizational and project management skills. 

  • Effective project management and record keeping. 

  • Self-motivated with proven ability to meet deadlines, prioritize and multi-task in dynamic, fast-paced work environment.  

  • Ability to take the initiative, work independently, but within a team to prioritize and balance multiple tasks in our dynamic, evolving legal and technology environment. 

  • Experience and comfortable working in fast-paced, high-volume technology environment with multiple stakeholders. 

  • Excellent communication and negotiation skills, and ability to interact and build trust across all levels of our business. 

  • An open and curious mind around the exploration and use of legal technologies, including AI-enabled tools and emerging legal tech platforms.

  • Working knowledge of a Contract Lifecycle Management platform, such as Evisort is a plus. 

  • Salesforce experience a plus 

  • Proficiency in Microsoft Office Suite (Word, PowerPoint, and Excel). 

  • Exceptional attention to detail. 

  • Results-oriented, resourceful, problem-solver. 

  • Adapts well to change. 

Experience / Qualifications: 

  • Law degree from accredited law school. 
  • 4-6 years’ sophisticated commercial contracting experience in either in-house or law firm setting.
  • Familiarity with legal issues related to licensing and sales of on-prem software, SaaS, cloud/AI and related professional services.
