We are seeking a proactive and detail‑oriented professional to support our Commercial Legal function. This role ensures that the Group remains compliant with local commercial requirements across all jurisdictions and acts as a key liaison with Finance, HR, Tax and Accounting teams on matters relating to intragroup agreements, approval of annual accounts, and review of financing agreements. The position plays a vital role in ensuring the efficient operation of the Group’s commercial entities, both individually and collectively.
The role also involves reviewing drafted documents and coordinating with directors, external advisers, and global local offices to gather input, collect signatures, and finalize documentation. In addition, this position manages relationships with external company secretarial advisors and external legal counsel.
Responsibilities- Provide company secretarial support, including coordination of annual financial statement approvals across all group entities to meet local compliance requirements, and support with UBO filings.
- Draft and review legal documentation such as board minutes, powers of attorney, intercompany contracts and loans, share certificates, and statutory registers.
- Oversee proper maintenance of commercial books and statutory records.
- Review finance and commercial treasury contracts.
- Work collaboratively with multidisciplinary teams, including operations, business, finance, tax, legal, accounting, and compliance.
- Maintain daily communication with external advisors; support internal departments by effectively managing outside counsel and external resources.
- Assist in completing KYC requirements and coordinating signature collection.
- Carry out general administrative tasks including managing company secretarial data (Blueprint / Diligent Companies), maintaining structured internal folders, preparing spreadsheets, booking couriers, and arranging document execution.
- Coordinate notary, courier, and translation services as required.
- Liaise with directors, external advisers, and international offices to finalize documentation.
- Quick learner with a collaborative mindset and strong problem‑solving skills.
- Ability to work under pressure, meet strict deadlines, and prioritize tasks effectively.
- Strong business ethics and the ability to manage confidential information with discretion.
- Team‑oriented, with strong interpersonal and communication skills.
- 4+ years of experience in commercial law.
- Previous experience in an international environment.
- Spanish Law Degree.
- Fluency in English and Spanish.
- Strong understanding of cultural diversity.
