The Role
About this role:
Wells Fargo is seeking a dynamic and experienced Lead Capital Markets Negotiator to join our Negotiation Team, with a focus on complex trading and derivatives agreements across Commodities and Corporate counterparties. This role is pivotal in driving the negotiation and execution of high-value legal agreements that support the firm's capital markets activities.
As a senior negotiator, you will lead the structuring, negotiation, and oversight of a wide range of documentation, ensuring alignment with regulatory requirements, internal risk frameworks, and market best practices. You will serve as a trusted advisor to front office, legal, credit, and compliance teams, providing strategic guidance on documentation risk and deal structuring.
In addition to managing a diverse portfolio of counterparties, you will spearhead key initiatives to enhance documentation processes, contribute to policy development, and mentor junior negotiators. Your insights into market trends and regulatory developments will help shape the firm's approach to documentation strategy in the evolving capital markets landscape.
In this role, you will:
  • Lead Commodities Negotiations: Serve as the primary negotiator for complex trading and derivatives documentation with commodities counterparties, including energy firms, metals traders, and other participants in physical and financial commodities markets. Negotiate ISDA Master Agreements, NAESBs, EEIs, and bespoke physical commodities agreements to support structured and high-value transactions.
  • Support Corporate Documentation: Manage and negotiate legal agreements with corporate, sponsor, municipal, and institutional clients, including highly negotiated ISDAs for securitizations and structured finance transactions.
  • Review & Analyze Legal Documentation: Conduct detailed reviews of a broad range of agreements, including ISDA Schedules and Credit Support Annexes, NAESBs, Account Control Agreements, Credit and Security Agreements (including Guarantees), Intercreditor Agreements, Legal Opinions, and authority documentation.
  • Drive Process & Policy Optimization: Lead initiatives to enhance documentation templates, streamline negotiation workflows, and implement system improvements. Collaborate with legal, credit, operations, and business partners to ensure compliance with internal policies and regulatory standards.
  • Mitigate Risk & Ensure Compliance: Identify and assess legal, credit, and operational risks in documentation. Ensure adherence to firm policies, regulatory frameworks, and industry best practices.
  • Engage with Clients & Stakeholders: Act as a key point of contact for counterparties during negotiations. Build and maintain strong relationships with internal stakeholders and external clients to facilitate timely and favorable outcomes.
  • Provide Leadership & Mentorship: Offer strategic guidance and mentorship to junior negotiators. Contribute to team development through training, knowledge sharing, and leadership in complex negotiations.
  • Deliver Strategic Insights: Advise senior management on market trends, regulatory developments, and negotiation strategies based on recent transactions and industry activity.
  • Champion Innovation & Technical Solutions: Lead continuous improvement efforts by identifying and implementing end-to-end technical solutions that enhance documentation efficiency. Serve as a subject matter expert in capital markets documentation and advocate for automation and innovation.
Required Qualifications:
5+ years of Capital Markets Document Negotiation experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education.
Desired Qualifications:
  • 5+ years proven experience in negotiating and managing capital markets legal documentation.
  • Experience with financial and physical commodities documentation.
  • Strong understanding of derivatives transactions.
  • Expertise in regulatory compliance, risk mitigation, and financial industry best practices.
  • Excellent analytical, problem-solving, and communication skills.
  • Ability to collaborate effectively with internal stakeholders, including legal, credit, risk, and business teams.
  • Leadership experience with a history of mentoring and influencing individuals and teams.
  • Proven experience in evaluating, designing, and enhancing end-to-end technical solutions to enhance operational efficiency.
Pay Range
Reflected is the base pay range offered for this position. Pay may vary depending on factors including but not limited to achievements, skills, experience, or work location. The range listed is just one component of the compensation package offered to candidates.
$139,000.00 - $260,000.00
