The team​:

You’ll be part of one dynamic global legal, compliance and ESG team (currently twenty persons in total) where you can stay true to yourself while working closely with colleagues from diverse backgrounds.

Murex management place a strong emphasis on legal matters, which is somewhat exceptional in its industry.  This gives the legal and compliance department an important role within Murex but is also predicated on an expectation of maintaining very high standards, notably strong legal judgment based on an up-to-date and in-depth knowledge of black letter law and the ability to communicate this coherently and effectively and to apply it with commercial common-sense. 

The Americas Team currently consists of the Americas GC, a junior legal counsel and two paralegals.  We work and share knowledge on a daily basis with colleagues based in Europe and Asia. The legal, compliance and ESG functions is led globally by a Group General Counsel based in Europe.

What you’ll do​:

The primary responsibility of your role is to provide full legal support to the businesses in the Americas, especially in relation to the negotiation and management of B2B commercial and technology contracts, including software licensing, SaaS, maintenance, professional services and related agreements with financial institutions and multinational companies, as well as technology and indirect procurement. You will work closely with legal, commercial and management teams across North America, Latin America, Europe and Asia-Pacific, gaining exposure to cross-border transactions, fintech, capital markets, software licensing, corporate governance and regulatory developments affecting the financial services industry. In particular:

  • Provide legal support in coordination with and under the supervision of the Americas General Counsel (with the view of gaining capacity to work more independently) and assist the sales team in relation to:

    • pre-sales contracts/processes: draft and negotiate NDAs, review RFI/RFPs (i.e. prepare internal guidelines and responses in line with the RFP requirements and applicable policies); and

    • drafting and negotiation of software license, maintenance, professional services and SaaS contracts, and related amendments and SOWs, with international institutional customers, including banks, hedge funds, financial institutions and multinational companies. This includes the preparation and tracking of issues lists and revised drafts.

  • Provide day-to-day assistance to the sales team in relation to contract management, compliance requests made by clients and other BAU matters.

  • Draft and negotiate partnership contracts with Murex’s Alliance Management team, together with consultancy and training agreements with Murex suppliers.

  • Support the review and negotiation of technology, software vendor, connectivity, consultancy and training agreements for the Murex group.

  • Opportunities to assist in a range of corporate and procurement matters for Murex entities in North and South America and the negotiation of procurement contracts, including inbound licenses and connectivity agreements for the Murex group.

  • Advise the company on regional regulatory and legal developments in the Americas relevant to Murex activities, including with respect to data transfer and privacy, AI policy and other related matters.

  • Assist and advise on business and intellectual property law issues to the development, sales and other business teams.

Who you are​:

  • Based in Santiago, Chile or Mexico City where Murex has offices, with the successful candidate expected to work closely with legal, commercial and management teams across the Americas and other global Murex offices. Hybrid working arrangements may be available in accordance with local business requirements and company policies.

  • J.D. (or LLM) from a law school and bar admission.

  • Excellent written and spoken English, including strong communication, drafting and negotiation skills. Native/fluency in Spanish required with Portuguese a plus, given the role’s support for business activities throughout Central and South America.

  • Approximately 3-5 years of relevant legal experience, ideally gained in a leading law firm, multinational company, financial institution or sophisticated commercial environment, where you have been exposed to contract negotiations, due diligence processes and major projects.

  • Excellent legal drafting skills and ability to communicate clearly and effectively with internal stakeholders (including senior management) and sophisticated clients.

  • Willingness to work as a team player and to learn and follow Murex contractual group policies is a must.

  • Appetite for commercial contract negotiation (with exposure to external stakeholders) and drafting and willingness to work in a challenging environment.

  • Good knowledge of contract and commercial law (IP/IT law).

  • Experience in negotiating software license agreements and related IP/IT agreements(training will be provided based on level of previous experience). 

  • Interest in technology, software licensing, SaaS, fintech, capital markets or financial services.

Skills Required
