Emergence is looking for an M&A / Investment Professional to support the investment diligence cycle from start to close, including target evaluation, Emergence thesis alignment, and post-investment integration planning.

 

Role Overview

• Perform comprehensive financial and operational due diligence to identify risks and opportunities

• Develop and present retention analyses to understand the health of existing customers and potential deal pipeline

• Analyze unit economics, key SaaS KPIs, and operating leverage of target opportunities

• Facilitate quality of earnings analyses to assess the financial health and sustainability of potential acquisitions

• Understand the net working capital bridge and indebtedness definitions to ensure accurate valuation adjustments

• Ability to synthesize & assess the outcomes of negotiations on complex majority buyout transaction terms and structures

• Collaborate with cross-functional teams, including finance, legal, and operations, to ensure seamless deal execution

• Prepare detailed financial models and valuation reports to support decision-making

• Prepare holistic Investment Committee Memos outlining critical diligence findings

• Provide strategic recommendations to senior management based on in-depth analysis of potential deals

 

Ideal Background and Experience

• 3+ years of deal-related experience in private equity, corporate development, and investment banking or management consulting, ideally with focus on enterprise software / B2B SaaS

• Highly analytical and organized with strong written / verbal communication skills

• Passionate about investing, with a strong understanding of fundamental business analysis, and an outstanding academic and professional record

Skills Required

  • 3+ years of deal-related experience in private equity, corporate development, investment banking, or management consulting (preferably enterprise software / B2B SaaS).
  • Proven experience performing financial and operational due diligence, including quality-of-earnings analyses.
  • Advanced financial modeling and valuation experience to prepare detailed models and reports.
  • Strong understanding of SaaS unit economics, key SaaS KPIs, and operating leverage.
  • Ability to analyze net working capital bridges and indebtedness definitions for valuation adjustments.
  • Excellent written and verbal communication skills; ability to prepare Investment Committee memos and present findings.
  • Experience synthesizing negotiation outcomes and structuring majority buyout transaction terms.
  • Collaborative cross-functional work with finance, legal, and operations to execute deals.
  • Passion for investing and strong fundamental business analysis with strong academic and professional record.
