About Altery Connect EU B.V.

Altery Connect EU B.V. is a Dutch crypto-asset service provider applicant seeking authorisation under the Markets in Crypto-Assets Regulation (MiCAR). As part of the international Altery Group, we are developing our local governance, risk and control framework in preparation for the launch of regulated European operations.

We are looking for an experienced Independent Non-Executive Director to join our Supervisory Board and strengthen its collective expertise in:

  • Crypto-asset markets and services under MiCAR; and
  • ICT risk and digital operational resilience under DORA.

The successful candidate should bring deep expertise in at least one of these areas and sufficient knowledge of the other to provide credible and effective supervision.

The Role

As an independent member of the Supervisory Board, you will supervise the Management Board, provide robust challenge to executive decision-making and help ensure that Altery Connect EU B.V. maintains effective local governance, oversight and autonomous decision-making.

You will act in the interests of Altery Connect EU B.V. and its clients, including where those interests may differ from broader Group priorities. The role carries no executive, operational, employment or consultancy responsibilities within the Altery Group.

You will be appointed by, and accountable to, the General Meeting of Shareholders and will serve under the leadership of the Chair of the Supervisory Board.

What You’ll Be Doing

Supervision and Independent Challenge

  • Supervise the execution of the business model, strategy, risk appetite, capital and liquidity arrangements, control framework, outsourcing model and regulatory commitments.
  • Provide informed and documented challenge on material decisions and ensure that matters reserved to the Dutch entity remain under its effective control.

MiCAR and Crypto-Asset Oversight

  • Oversee the company’s compliance with MiCAR requirements relating to client asset protection, order handling and execution, complaints, crypto-asset acceptance and customer disclosures.
  • Challenge the adequacy of market-abuse, transaction-monitoring, Travel Rule, blockchain-analytics, liquidity-provider and counterparty-risk arrangements.

ICT Risk and DORA

  • Supervise the ICT risk management framework, digital operational resilience strategy, business continuity, incident management and resilience-testing programme.
  • Challenge ICT third-party and intra-group dependencies, including contractual controls, provider performance, vulnerability management and exit strategies.

Governance, Conflicts and Local Autonomy

  • Act as an independent counterweight within the Group structure and oversee conflicts arising from dual-hatted roles or intra-group relationships.
  • Challenge whether outsourcing, service agreements, transfer pricing and other Group arrangements serve the interests and regulatory obligations of Altery Connect EU B.V.

Regulatory Engagement and Board Effectiveness

  • Participate in engagement with the AFM and DNB, including supervisory meetings, information requests, interviews and thematic reviews.
  • Contribute to Board effectiveness assessments, induction and continuing education, and ensure that challenge, decisions and follow-up actions are appropriately documented.

Time Commitment

The role requires a minimum commitment of 120 hours per year, covering:

  • Preparation for and attendance at scheduled Supervisory Board meetings;
  • Deep-dive or committee sessions on MiCAR, financial crime, ICT risk and resilience;
  • Structured training and continuing professional development; and
  • Regulatory engagement, ad hoc consultation and unscheduled matters.

Candidates must have sufficient capacity alongside their other professional commitments and be available for in-person meetings in Amsterdam and urgent regulatory or incident-related matters.

What We’re Looking For

  • At least 10 years of senior experience in financial services, financial regulation, technology risk or a related regulated environment, including at least three years in a Board, Supervisory Board, committee or equivalent senior oversight role.
  • Direct practical experience in crypto-asset markets or services through a CASP, VASP, exchange, custodian, regulator or comparable professional environment.
  • Working knowledge of MiCAR and the regulatory framework applicable to EU crypto-asset service providers.
  • Substantive expertise in ICT risk and digital operational resilience, including DORA, ICT third-party risk, incident management, business continuity or resilience testing.
  • Experience supervising or operating within a Group structure involving intra-group outsourcing and regulated local-entity accountability.
  • Strong independence of judgement, the confidence to challenge executive and Group-level decisions and a clear understanding of the boundary between supervision and management.
  • Excellent written and spoken English; Dutch is an advantage.

Applications are welcomed from candidates whose primary expertise lies in either crypto-asset markets and MiCAR or ICT risk and DORA, provided they can credibly supervise both areas and are willing to develop their knowledge further through the Board’s continuing education programme.

Previous successful fit-and-proper approval by the AFM, DNB or another EU/EEA authority is an advantage but is not required and will not replace the AFM’s assessment for this appointment.

Independence and Regulatory Eligibility

Candidates must:

  • Have no current executive, employment, consultancy or operational role within the Altery Group;
  • Disclose other directorships, advisory positions, commercial relationships and potential conflicts of interest;
  • Have sufficient time and independence to perform the role effectively;
  • Demonstrate good repute, integrity, competence and financial soundness; and
  • Be legally eligible to serve on the governing body of an EU crypto-asset service provider under applicable EU requirements and restrictive measures.

The appointment cannot take effect until the required AFM fit-and-proper assessment has been completed.

The Appointment

This appointment offers the opportunity to join the Supervisory Board at a defining stage in the development of Altery Connect EU B.V. and to make a direct contribution to the quality of its governance, regulatory oversight and implementation of MiCAR and DORA.

  • The initial term is four years, subject to annual effectiveness review and the company’s governance arrangements.
  • The expected commitment is a minimum of 120 hours per year, including Board and deep-dive sessions, preparation, training, regulatory engagement and ad hoc matters.
  • Market-competitive non-executive remuneration and reimbursement of reasonable expenses will be provided.
  • The company will provide a structured induction programme and support relevant continuing professional development.
  • The appointment is subject to completion of the required AFM fit-and-proper assessment and cannot take effect before regulatory approval.
