Taboola is seeking a highly motivated corporate and securities legal counsel with background in Israeli public company governance and compliance, and corporate and securities matters, to join the in-house legal team as Corporate Legal Counsel, at our Israeli office in Ramat-Gan. 

The Corporate Legal Counsel will be responsible for assisting with securities and corporate governance matters, drafting board resolutions, and providing legal advice and services in the areas of corporate compliance, NASDAQ reporting and compliance, domestic and international corporate transactions and subsidiary governance. 

The person who takes on this role will work closely with high-level internal stakeholders, and will have an opportunity to work on challenging and often cutting-edge legal issues that require creative and proactive legal advice and client support. This position will report directly to the company’s Director, Corporate and Securities Counsel, located in New York.

What are some of the things you do on a day-to-day basis?

  • Provide legal advice and counseling with respect to various securities, compliance, corporate governance and general corporate law matters, including related to the Israeli Companies Law
  • Assist with the preparation of annual and periodic reports for the SEC, proxy filings, and compliance with Israeli corporate governance and regulatory requirements
  • Ensure compliance with NASDAQ rules and regulations
  • Assist with global subsidiary management, subsidiary statutory filings, signature rights, corporate governance, and other regulatory matters
  • Assist the General Counsel with corporate secretary matters, including corporate governance and regulatory compliance, minutes record keeping, board resolutions and preparing and planning board and shareholder meetings
  • Provide legal support for equity programs and awards, address insider trading questions, and collaborate with the Stock Administrator on legal matters and employee inquiries
  • Provide assistance with various equity and debt financings
  • Provide support and advice on a wide range of corporate legal issues across multiple regions and departments
  • Manage relationships with outside counsel as needed and lead or support strategic ad hoc projects as required
  • Represent the company professionally, thoughtfully and with the highest standards of integrity

What are the skills a good Corporate Legal Counsel needs to have?

  • L.L.B from an accredited law school, excellent academic credentials, and a member in good standing with the Israeli bar association
  • At least 3-4 years of experience in advising publicly traded and private companies on matters related to corporate governance, commercial and securities law, while working for a major law firm and/or relevant in-house experience in a publicly-traded company 
  • Experience advising Israeli companies registered with the SEC in connection with their disclosure obligations, reporting, stock exchange compliance, corporate governance issues and securities offerings
  • Deep knowledge of Israeli securities laws, and regulations, and corporate governance standards and trends
  • Organized, hard-working and highly professional, with the ability to thrive in a fast-paced work environment, manage numerous projects simultaneously without compromising attention to details, and exercise sound judgment
  • Must be comfortable providing legal guidance on short timelines and with limited information and then helping to execute on the business decision – even if it involves legal risks
  • A team-oriented approach to collaborating both within and outside the legal department. 
  • Ability to communicate professionally and effectively, write clearly and concisely, and manage people and tasks to deadline
  • Experience operating internationally
  • Excellent English written and oral communications skills
  • Acute attention to detail
