The Executive Compensation Director is responsible for designing, delivering, and continuously improving executive compensation programs that align with enterprise strategy, shareholder expectations, and regulatory requirements. This role operates as part of a coordinated executive compensation function, where leaders may focus on distinct areas (e.g., program design, governance and disclosure, analytics and operations), while collectively delivering an integrated, high-performing model. The position serves as a strategic partner to senior HR leadership, finance, legal, and other key stakeholders, ensuring executive compensation programs are competitive, defensible, and operationally scalable.
What You'll Be Doing:
Executive Compensation Program Management
Support the design and delivery of executive compensation programs, including base salary, annual incentives, and long-term incentives.
Ensure alignment of compensation programs with business strategy, pay-for-performance philosophy, and market competitiveness.
Contribute to annual compensation cycles, including planning, modeling, approval processes, and execution.
Partner with senior leadership to evaluate compensation outcomes and support decision-making.
Governance, Compliance, and Disclosure
Prepare materials and analysis for Compensation Committee meetings, ensuring clarity, accuracy, and executive readiness.
Ensure executive compensation programs comply with applicable regulatory requirements and governance standards.
Support development of proxy disclosures (e.g., CD&A and related tables) and alignment with investor and proxy advisor expectations.
Partner with legal and external advisors on Section 16, insider trading, and other compliance requirements.
Analytics, Modeling, and Insights
Develop and maintain robust compensation models to support scenario analysis, decision-making, and budget alignment.
Analyze market data, peer benchmarking, and compensation trends to inform program design.
Deliver clear, data-driven insights to senior leadership and stakeholders.
Ensure accuracy and integrity of executive compensation data, including audit readiness.
Operations and Process Excellence
Lead or support the operational execution of executive compensation programs, including systems, processes, and controls.
Identify opportunities to standardize, streamline, and scale workflows across the function.
Strengthen data governance, documentation, and internal controls to ensure consistency and reliability.
Partner with HRIS, payroll, and equity administration teams to ensure seamless delivery.
Stakeholder Engagement and Advisory
Serve as a trusted advisor to HR leadership, finance, legal, and business leaders on executive compensation matters.
Support leadership’s engagement with the Compensation Committee and external stakeholders, as needed.
Coordinate with investor relations and corporate affairs on shareholder engagement topics related to compensation.
Build strong cross-functional relationships to enable effective program design and execution.
What We're Looking For:
Experience
10-15+ years of experience in executive compensation, total rewards, or related disciplines.
Demonstrated experience supporting executive compensation programs at a public company.
Experience preparing Compensation Committee and related governance materials.
Experience operating in a complex, global organization.
Skills and capabilities
Executive compensation expertise: Deep understanding of incentive design, equity programs, and pay governance.
Analytical rigor: Strong modeling, financial acumen, and data interpretation skills.
Governance and compliance: Knowledge of regulatory requirements, disclosure practices, and shareholder considerations.
