Role Overview
The Head of Legal will lead all legal functions for PalmPay Bangladesh, ensuring full legal compliance while supporting business growth in the fintech ecosystem.
This role will oversee legal strategy, regulatory engagement, contract governance, and litigation management. The ideal candidate will have strong experience in the payments, lending, or financial services industry, along with solid knowledge of labor law and practical exposure to court proceedings.
Key Responsibilities
Legal Strategy & Leadership

Lead and oversee all legal functions of PalmPay Bangladesh, ensuring alignment with business objectives and regulatory requirements.
Develop, implement, and continuously enhance the company’s legal strategy, governance framework, and compliance programs.
Provide strategic legal advice to the Board of Directors, Country GM, and senior leadership on business, regulatory, and corporate matters.
Support business growth initiatives, partnerships, and expansion plans by providing proactive legal guidance.

Regulatory Affairs & Compliance

Ensure full compliance with all applicable laws, regulations, and industry standards governing fintech, payments, lending, and financial services.
Monitor regulatory developments and assess their impact on business operations, recommending appropriate actions and policy updates.
Maintain strong working relationships with regulators, government agencies, and industry associations.
Oversee regulatory submissions, licensing requirements, and compliance reporting obligations.

Contract Management & Legal Advisory

Lead the drafting, review, negotiation, and execution of contracts, commercial agreements, partnerships, and vendor arrangements.
Provide legal support and advisory services to all departments, including Operations, Finance, HR, Risk, Compliance, and Business teams.
Ensure contractual arrangements adequately protect the company’s interests and mitigate legal risks.
Advise management on legal implications of new products, services, and commercial initiatives.

Corporate Governance & Risk Management

Establish and maintain effective corporate governance policies and legal control frameworks.
Identify, assess, and mitigate legal and regulatory risks across the organization.
Ensure proper maintenance of legal records, corporate documentation, and governance-related filings.
Support internal audits, compliance reviews, and risk assessment initiatives.

Litigation & Dispute Resolution

Oversee all litigation, arbitration, dispute resolution, and legal claim matters involving the company.
Coordinate with external legal counsel and represent the company’s interests in legal proceedings when required.
Develop strategies for resolving disputes efficiently while minimizing legal and financial exposure.
Manage legal investigations, regulatory inquiries, and enforcement actions.

Employment Law & Internal Legal Support

Provide legal guidance on labor law compliance, employment matters, disciplinary actions, and workplace investigations.
Review employment contracts, HR policies, and internal procedures to ensure compliance with applicable labor laws.
Support management in handling employee relations issues and legal aspects of workforce management.
Advise on legal risks associated with organizational changes, restructuring, and employment decisions.

Team Management & Stakeholder Engagement

Lead, mentor, and develop the Legal team to strengthen legal capability and performance.
Foster a culture of compliance, integrity, and legal awareness across the organization.
Collaborate with internal stakeholders to ensure legal considerations are integrated into business decisions.
Build and maintain strong relationships with regulators, external counsel, business partners, and other key stakeholders

Required Qualifications & Experience
Education & Professional Credentials

LL.B. and LL.M. from a reputed university.
Enrollment as an Advocate of the Supreme Court of Bangladesh will be an added advantage.
BPTC certification or a foreign bar qualification (e.g., UK Bar) will be highly preferred.

Professional Experience

10–12 years of progressively senior legal experience, including at least 3 years in a managerial or departmental leadership role.
Proven expertise in corporate, commercial, financial, and compliance law.
Practical experience in litigation management, dispute resolution, and court proceedings, including attending court hearings.
Demonstrated success in leading legal teams and advising senior management and C-level executives.
Excellent legal drafting, negotiation, and advocacy skills in both English and Bangla.
Strong business acumen with the ability to balance legal risks and commercial objectives.
Exceptional leadership, communication, stakeholder management, and decision-making abilities.

Skills & Competencies

Strong knowledge of commercial law, fintech regulations, and labor law.
Excellent legal drafting, negotiation, and analytical skills.
Strong communication skills with high proficiency in English.
Ability to work with senior stakeholders and represent the company externally.
