About the roleAs our Head of Legal (m/f/d), you will build and own our legal function from the ground up, reporting directly to the CFO. You own matters end-to-end, work closely with the executive team, and keep us legally sound while we move fast.
This is not a support role – it's a seat at the table during one of the most exciting chapters in Codesphere's growth.
What you'll driveYou own corporate governance, group structure, and board and shareholder matters – including captable and employee incentive plan administration
You maintain subsidiaries across jurisdictions and handle statutory deadlines
You draft, review, and negotiate customer, partner, and supplier agreements – and protect our IP
You co-own compliance and GDPR frameworks, working closely with our IT security experts
You monitor regulatory developments and advise the executive team accordingly
You lead legal due diligence and coordinate with outside counsel for funding rounds and M&A
8+ years of legal experience – ideally a mix of law firm and in-house scale-up background
Solid background in commercial law – able to own contract negotiations and IP related topics without outside counsel
Comfortable with corporate matters and stakeholder management
Working knowledge of GDPR and compliance frameworks
Fluent in German and English
Munich-based or open to making it your home

Skills Required
- 8+ years of legal experience
- Experience at both law firm and in-house scale-up environments
- Solid background in commercial law, able to own contract negotiations and IP topics without outside counsel
- Experience with corporate governance, group structure, board and shareholder matters
- Ability to maintain subsidiaries across jurisdictions and manage statutory deadlines
- Experience leading legal due diligence for funding rounds and M&A and coordinating outside counsel
- Working knowledge of GDPR and compliance frameworks
- Fluent in German and English
- Munich-based or willing to relocate to Munich
