We are seeking an experienced and strategic Head of Legal to build and lead the legal function for an expanding ecosystem of international non-profit, holding and operational entities dedicated to high-impact social, educational, cultural, philanthropic and sustainability initiatives worldwide.

Supported by a leading global technology group, the organization implements systemic impact programs across multiple jurisdictions. The role combines strategic legal work related to the separation, structuring and migration of impact projects with ongoing legal leadership for international non-profit operations, partnerships, grants, project launches, governance and risk management.

This role will oversee the legal architecture of the organization’s international structure, including multi-jurisdictional corporate governance, international compliance, contracting, legal risk management and coordination of external counsel. The ideal candidate is a high-ownership legal professional with strong experience in international legal projects, non-profit organizations, cross-border structuring and social impact initiatives, capable of acting as a trusted legal partner to executive leadership and cross-functional project teams.

Key Responsibilities
1. Legal Support of Projects and Initiatives
  • Lead legal support for the launch and operation of educational, cultural, environmental, sports and other social impact initiatives across jurisdictions.
  • Advise project teams on legal structuring, regulatory requirements, partner due diligence, participant terms, project policies, data/privacy matters and local compliance requirements.
  • Provide practical legal advice on donations, grants, sponsorships, charitable funding, fundraising mechanics and cooperation with non-profit, institutional and corporate partners.
  • Review public communications, marketing materials, external publications, project terms and other external-facing materials where legal review is required.
  • Translate complex legal requirements into clear and practical recommendations for project teams and management.
2. International Structuring & Governance
  • Lead legal work related to the registration, restructuring and ongoing maintenance of legal entities across multiple jurisdictions, including prospective holding foundations and regional operational entities.
  • Govern the legal framework linking independent entities, corporate donors and project partners, ensuring that financial, grant, sponsorship, service and operational arrangements are properly structured, documented and compliant with applicable legal, tax and governance requirements.
  • Manage corporate governance matters, including preparation and review of board resolutions, minutes, charters, bylaws, powers of attorney, internal approvals and other corporate documents.
  • Support governance structures and documentation required to satisfy international audit, independence and deconsolidation considerations.
  • Coordinate relationships with external counsel, regulators, banks, notaries, corporate service providers and other external stakeholders across jurisdictions.
3. Strategic Carve-Out & Project Migration
  • Lead legal workstreams required for the operational separation and transition of impact initiatives from the corporate sponsor’s perimeter to independent non-profit and operational governance.
  • Oversee the systematic and legally compliant transfer of contracts, intellectual property, personal data, participant databases, websites, social media accounts, digital assets and operational obligations.
  • Draft and negotiate Transition Services Agreements, Service Level Agreements and other legal documents required to govern shared infrastructure and transitional support during the carve-out phase.
  • Identify legal and operational risks related to project migration and implement practical mitigation measures.
  • Work closely with leadership, Finance, HR, Operations, Compliance, project teams and external counsel to ensure a smooth and legally compliant transition.
4. Contracts, Commercial & IP Management
  • Draft, review and negotiate a broad range of international agreements, including:
    • donation and grant agreements;
    • sponsorship agreements;
    • service agreements;
    • partnership and cooperation agreements;
    • licensing and intellectual property agreements;
    • vendor agreements;
    • NDAs;
    • terms of use, policies and other project-related legal documents.
  • Ensure that contractual arrangements reflect the non-profit status, charitable purpose, applicable tax considerations, compliance requirements and liability protections of the participating entities.
  • Establish and improve scalable legal playbooks, contract templates, approval workflows and practical guidelines for project teams.
  • Support the protection, transfer and proper use of intellectual property, brand assets, content, websites, social media accounts and other project-related assets.
5. Regulatory Monitoring & Risk Management
  • Proactively monitor and analyze regulatory developments in NGO law, charitable activities, international fundraising, data privacy, sanctions/compliance, reporting obligations and tax requirements applicable to non-profit operations.
  • Advise cross-functional leadership on legal requirements necessary to preserve the organization’s non-profit status, governance integrity and compliant operations.
  • Identify, assess and manage legal risks related to projects, contracts, operations, corporate governance and international expansion.
  • Develop practical legal solutions that protect the organization’s interests while enabling the effective implementation and scaling of impact programs.
  • Support the development and implementation of internal policies, governance documents and legal compliance processes.
  • Oversee and coordinate KYC, AML, sanctions screening and third-party due diligence processes in relation to donors, grantees, partners, vendors and other counterparties
6. External Counsel & Legal Function Management
  • Coordinate and manage external legal counsel and service providers across multiple jurisdictions.
  • Ensure quality, consistency, timeliness and practical relevance of external legal advice.
  • Build and maintain an efficient internal legal function for the organization.
  • Act as the main legal point of contact for executive leadership, project teams and key internal stakeholders.

Skills, Knowledge and Expertise
Education
  • Degree in Law from a recognized university.
Experience
  • 8+ years of professional legal experience.
  • Experience with international legal projects, non-profit organizations, charitable initiatives, corporate governance, cross-border contracting and legal risk management.
  • Experience advising or supporting non-profit organizations, charitable foundations, NGOs, social impact initiatives, sustainability projects or philanthropic structures.
  • Experience working on complex cross-functional and multi-jurisdictional projects.
  • Experience coordinating external legal counsel and service providers across jurisdictions.
Technical Expertise
  • Strong expertise in contract drafting and negotiation, corporate governance, non-profit regulation, legal structuring and legal risk assessment.
  • Strong understanding of legal aspects of charitable activities, donations, grants, sponsorships, partnerships and project-based operations.
  • Ability to conduct complex legal research, analyze laws and regulations, and provide clear, practical and risk-based recommendations.
  • Ability to develop legal templates, policies, workflows and scalable legal processes.

Skills Required
