The Role

The candidate will translate objectives into strategic plans with a medium- to long-term view.  The leader will own the development and execution of the design, management, and reporting of the overall International Health (“IH”) central compliance function.  Success will be defined as creating comprehensive and centralized compliance programs, policies, procedures, training, and monitoring for global application.  Establishment of this foundational strategic and operational infrastructure ensures that IH and each of its segments can effectively and efficiently implement the overall compliance program intended to prevent unethical and illegal conduct.  As a key member of the central compliance and governance team, the candidate will:

  • provide leadership, management, focus, and strategy to our existing central compliance function;

  • oversee the IH compliance programs and monitoring in the following key areas: (a) anti-bribery and anti-corruption; (b) U.S. Foreign Corrupt Practices Act (“FCPA”); (c) sanctions; (d) whistleblowers and investigations; (e) corporate ethics/fraud/conflicts of interest; and (f) third-party compliance. 

  • provide subject-matter expertise and guidance to the enterprise generally on the FCPA;

  • develop and maintain the overall IH compliance program which will form the basis of compelling and evidenced-based presentations of our compliance position and risks to IH senior leadership, relevant boards, and regulators;

  • create and maintain all compliance policies and procedures;

  • provide training to the business at regular intervals and on an ad-hoc basis when necessary;

  • conduct investigations;

  • monitor, assess, and report compliance risks;

  • develop compliance risk remediation plans;

  • directly interact with the regional legal and compliance teams on regionally specific matters;

  • lead a team of compliance professionals that support the central compliance function.

Qualifications

  • Juris Doctor or Master of Laws from an accredited law school and an active license to practice law;

  • 15+ years of legal and compliance experience in positions of increasing responsibility, with a minimum of 10 years in corporate compliance, a minimum of 5 years in international legal matters, and a minimum of 3 years in private practice preferred;

  • In-depth substantive experience and understanding of International compliance law, regulation, and directives, specifically, in all of the following key subject-matter areas:

    • International anti-bribery and anti-corruption law and regulation;

    • FCPA;

    • International sanction law and regulation;

    • whistleblower and other internal compliance investigations;

    • corporate ethics/fraud/conflicts of interest;

    • third-party compliance;

  • Demonstrable experience:

    • designing, maintaining, and implementing a comprehensive global compliance program across multiple jurisdictions and legal entities;

    • enhancing and implementing internal controls, policies, and procedures across multiple jurisdictions; and

    • leading complex internal investigations, including the drafting of investigation plans, reports, and conducting interviews.

  • Experience with multi-jurisdictional regulatory authorities during examinations, enforcement proceedings, and investigations;

  • 6+ years of experience leading, managing, and developing high performing teams;

  • Unequivocal commitment to ethical business practices;

  • Resolve to maintain adherence to principles, policies, and procedures in the face of pressure and competing priorities;

  • Ability to inspire and motivate employees around a common vision of compliance, client and customer service;

  • High emotional intelligence demonstrated by strong listening skills and ability to build trust;

  • Collaborative team-player, cooperative, decisive, practical, and solutions focused;

  • Highly organized and able to demonstrate results in a succinct manner;

  • Clear and concise communicator with outstanding presentation skills, both oral and written;

  • Ability to prioritize and balance resources effectively;

  • Judgment to evaluate and mitigate legal and compliance risks;

  • Comfort analyzing complex fact patterns involving overlapping and ambiguous legal regimes;

  • Proven experience working with, and respect and appreciation for cultural differences;

  • Ability to independently balance competing priorities; and

  • Familiarity with influencing stakeholders in a matrixed environment.
