EquipmentShare is searching for a Government Contracts Counsel for our corporate office in Columbia, MO, to support our team as the department continues to grow. 

EquipmentShare is seeking a Government Contracts Counsel to be responsible for providing legal support to the Government Contracts business unit on contractual matters relating to Federal, State, & Local contract opportunities, including those governed by the Federal Acquisition Regulations (FAR), Defense Federal Acquisition Regulations Supplement (DFARS) and General Services Administration (GSA).  The role provides counseling on a wide range of government contracts-related business and regulatory issues including government contract formation, contract compliance, risk assessment, proposal and negotiation counseling, dispute resolution and review and negotiation of commercial subcontracts relating to government contract matters.

Primary Responsibilities

  • Draft, analyze, and negotiate contractual language for government contracts, subcontracts, task orders, bid documents, non-disclosure agreements, and other legal documents as necessary. 
  • Provide advice based on the appropriate balance of risk mitigation and business interests on a real-time basis, serving as a resource for the Government Contracts business unit as well as the salespeople in the field. 
  • Advise on compliance with and applicability of Federal, State, and Local statutes, ordinances, and regulations.  
  • Provide legal support on supplier and vendor registrations with various Federal and State, GSE, and Local governmental authorities.
  • Research/advise on recent government contracting legal developments and best practices.
  • Develop/recommend risk management policies and operating procedures to address specific company and industry legal issues.
  • Provide direction and coordinate with outside counsel on more complex matters.
  • Foster compliance by employees with all applicable laws, rules and regulations affecting the company’s government contracts practice.
  • Review existing policies and procedures, identify areas for improvement, implement improvements, and disseminate knowledge to team members and leadership.
  • Communicate with other attorneys regarding recent government contract legal developments and areas of risk management concern and provide briefings on active matters.

  • A bachelor's degree from an accredited 4-year college
  • Juris Doctor
  • A minimum of 5 years of experience as a practicing attorney focused on government contracting, with a preference for candidates with experience with federal contracting.
  • Requires membership in a State Bar as an attorney qualified to practice law in the State and must remain in good standing with the State Bar including being current on any applicable Continuing Legal Education requirements.
  • Strong hands-on practical knowledge of all facets of Federal government and State & Local contracting law in various jurisdictions.
  • Strong knowledge of government contracting and associated regulatory issues, with proven experience in the FAR, DFARS, and State & Local contracting frameworks.
  • Demonstrated experience related to various contract types.
  • Demonstrated track record related to managing and processing Federal protests, disputes, claims, audits, and investigations.
  • Demonstrated track record of balancing legal, quality, and business risk management objectives - distinguishing between risk mitigation and risk elimination.
  • Must be able to sit for prolonged periods at a desk and working on a computer.
