The Role

The General Counsel is a valued member of Origami's executive team. The General Counsel provides strategic legal advice and strategies across a wide range of matters encompassing all functions of a fast-growing technology business, including general corporate, corporate governance, commercial contracts, data privacy and security, intellectual property, employment, litigation and risk management. The General Counsel manages the legal team and, depending on experience, may also manage Origami's Governance, Risk and Compliance (GRC) team. The General Counsel will operate from Origami's Chicago office.
Responsibilities

  • Develops and implements Origami's overall legal strategy to support business objectives and growth.
  • Oversees day-to-day legal matters of the company, including contract negotiation, corporate governance, compliance, risk mitigation and insurance, intellectual property, litigation and disputes, data privacy and security, employment matters, and other areas as helpful.
  • Leads Origami's in-house legal department, including managing, mentoring, and developing the legal team while maintaining a high-performance culture.
  • Drafts, reviews, and negotiates complex client, vendor and partnership agreements including software and technology agreements.
  • Develops strong relationships with sales and other leaders and their teams across the company and provide them with the highest level of service through counseling, and executing contract/document review and negotiation, advocacy, problem-solving, and education.
  • Serves as corporate secretary to the board of directors: overseeing board meetings, minutes, and resolutions. Develops and maintains relationships with board members, supports preparation of board-related materials, and attends all board meetings.
  • Stays current with relevant industry regulations and laws impacting the tech sector.
  • Advises and manages the company's intellectual property portfolio, including patents, trademarks, copyrights, and trade secrets.
  • Partners with or oversees governance, risk and compliance matters for the company, including maintaining data privacy/security certifications and providing detailed analytics to the Board of Directors regarding risk and compliance.
  • Advises on both the business and legal ramifications of major corporate transactions (e.g., mergers & acquisitions, financing, major contracts, and other strategic business initiatives).
  • Identifies potential legal risks and develop strategies to mitigate them.
  • Oversees external counsels and liaises with both internal stakeholders and external parties to ensure timely desired outcomes.
  • Provides guidance on data protection and privacy laws, ensuring compliance with data privacy regulations.
  • Collaborates with cross-functional teams and executive team members to provide legal insights and support for various business initiatives.
  • Partners and provides legal support to the HR department on all employment matters, including best practices for new employment agreements, compensation arrangements, required training programs, and separation and release agreements.
  • Oversees and negotiates the terms of office leases.
  • Additional duties as assigned.


Qualifications

  • 10+ years practicing law with a combination of law firm and in-house experience.
  • Juris Doctorate from an accredited United States law school.
  • Active law license in good standing in the state of Illinois.
  • Foundational training at a national law firm (preferably Am Law 200) and technology industry experience.
  • General Counsel with a technology or growth company preferred, but we will consider compelling Deputy/Associate/Assistant General Counsel candidates.
  • Experience in negotiation and client management, and experience in technology/software licensing and web-based offerings
  • Requires excellent legal research and negotiation skills, analytical abilities, attention to detail, and an ongoing knowledge of applicable law.
  • Proven experience building and leading teams in high-growth environments.
  • Sound and practical business judgment, intellectual creativity, and problem-solving skills.
  • Highly responsive, collaborative, and service-oriented attitude.
  • Familiarity with technical concepts in software applications.
