CTDI is looking for an experienced business-minded attorney to serve as its General Counsel and Vice President of Legal Affairs.  The position serves as the legal advisor of the Company and strategic advisor to the CEO/COO, family ownership group, Board of Directors, and executive leadership team. This executive is responsible for managing all legal affairs, protecting the Company's assets and reputation, mitigating enterprise risk, ensuring regulatory compliance, supporting international growth initiatives, and overseeing corporate governance.

The role provides legal leadership across transportation, warehousing, reverse logistics, Intellectual Property, international trade, employment matters, real estate, mergers and acquisitions, contracts, litigation, banking and corporate governance. The General Counsel must balance legal risk with commercial objectives while supporting the entrepreneurial culture of a privately held family-owned enterprise. This position is highly visible and requires a strong leader with the ability to prioritize, plan and direct activity as needed, and will report into the COO.

Essential Job Duties:

  • Serve as principal legal advisor to the Company, Board, and family ownership group.
  • Provide legal opinions and interpretations to executive leadership, management and staff.
  • Manage all corporate legal affairs relating to customer and vendor contracts, real estate transactions, business transactions, patents, employee and labor relations, and litigation.
  • Ensure the organization complies with local, state, and federal laws and regulations.
  • Write and review contracts and other agreements and negotiate and manage client, leases, and vendor contracts.
  • Risk management: Safeguard the organization from legal repercussions and unpredictable situations.
  • Work with Key stakeholders to Plan and implement internal policies and procedures.
  • Manage any litigation within or against the organization, and represent the corporation if litigation becomes imminent.
  • Manage outside legal counsel partnerships and department budgets.
  • Set the strategy for future legal needs.
  • Support preparation of Board and Committee materials.
  • Partner with Human Resources regarding domestic and international employment matters; Employment law, Wage and hour compliance, Investigations, Workforce reductions, and be advisor on Corporate Benefits Administration Committee.
  • Support leasing, acquisitions, dispositions, development projects, and facility expansions worldwide.
  • Support CTDI’s Intellectual Property and Patent Development strategy
  • Support Information Technology team members in areas of Data Privacy, Cybersecurity, and Artificial intelligence governance.

Requirements and Skills:

  • Broad range of substantive legal skills applicable to a large commercial enterprise in a technical market.
  • Ability to develop and implement legal strategies and solutions that eliminate or mitigate risks.
  • High degree of professional ethics and integrity.
  • Solid interpersonal and communication skills.
  • Ability to direct and develop in-house attorneys.
  • Work closely with outside legal counsel.  

Education/Experience:

  • J.D. from an American Bar Association accredited law school and properly licensed to perform legal services for a corporation in the Commonwealth of Pennsylvania.
  • At least 10 years of experience directly related to the duties and responsibilities specified.
  • Demonstrated ability to successfully manage a corporate legal office within budget.
  • Experience advising executive leadership, family offices, and Boards.
  • Experience with logistics, transportation, supply chain, manufacturing, distribution, or technology-enabled services
