Expressions of Interest for Board Directors

GrandBridge Corporation and GrandBridge Energy

Help Shape the Future of GrandBridge

GrandBridge Corporation and its wholly owned subsidiaries (“GrandBridge”) are seeking Expression of Interest (“EOI”) from accomplished, strategic and community-minded leaders who are interested in joining its Boards of Directors to help shape the continued growth and long-term direction of the organization.

GrandBridge Corporation is the parent holding company of GrandBridge Energy Inc., GrandBridge Group Inc. and GrandBridge Solutions Inc.  GrandBridge Energy is a regulated local distribution company and GrandBridge Group that provides telecommunications and fibre-optic network services through its Netoptiks division and home comfort equipment rental and related services through its Enersure division.

GrandBridge is evolving in a rapidly changing energy and infrastructure landscape. Increasing electricity demand, electrification, technological advancement, infrastructure investment and evolving customer and community expectations are creating new opportunities for the organization and the communities it serves.

As a member of the GrandBridge Board of Directors, you will have the opportunity to bring your experience, perspective and independent judgment to an organization focused on strong governance, sustainable growth and creating long-term value for its municipal shareholders, customers and communities.

The Opportunity

As part of its ongoing Board succession and renewal process, GrandBridge is seeking EOIs from candidates who will complement and add to the experience and capabilities of the current Board and contribute to the organization's future strategic direction. The Boards provide stewardship and oversight of GrandBridge, working with management to support the organization's long-term success while ensuring strong governance, accountability and responsible decision-making. Directors contribute strategic insight and independent judgment across matters including:

  • Enterprise strategy and long-term value creation
  • Financial performance, capital allocation and investment
  • Growth, partnerships, investments and business development
  • Corporate governance and enterprise risk
  • Regulatory and public-policy considerations
  • Organizational performance, executive leadership and succession
  • Technology, cybersecurity and enterprise transformation
  • Sustainability and the evolving energy landscape
  • Shareholder, customer and community interests

Our Directors bring an enterprise perspective to the Board table. They ask thoughtful questions, constructively challenge assumptions, consider both opportunities and risks, and contribute to a collaborative and effective governance environment.

Who We're Looking For

GrandBridge values a Board with complementary skills, experiences and perspectives. Candidates are not expected to bring expertise across every area. As we consider the future composition of the Board, we are particularly interested in candidates with senior leadership or governance experience in one or more of the following areas:

  • Energy, Utilities & Infrastructure
  • Finance, Investment & M&A
  • Strategy, Growth & Transformation
  • Technology, Digital & Cybersecurity
  • Governance, Risk & Regulatory
  • People, Culture & Executive Leadership

When reviewing EOIs, GrandBridge will consider the overall composition of its Boards and the combination of capabilities and perspectives required to support our strategic direction. In addition to relevant executive, sector or governance experience, successful candidates will demonstrate strong judgement, knowledge of corporate governance practices, independent thinking, integrity and an appreciation for the organization's accountability to its municipal shareholders, customers and communities.

Previous corporate Board experience, particularly as a Board Chair or Vice-Chair, and/or a recognized director designation is considered an asset; however, it is not required where a candidate brings significant executive, sector or governance expertise.  GrandBridge encourages education and training for its Directors, particularly as it applies to Board leadership development.

Term & Commitment

Directors are appointed for a three-year term, with eligibility for reappointment in accordance with GrandBridge's governing documents and Board policies. The Board typically meets quarterly, with additional committee meetings, strategic planning sessions, AGM/Shareholder meetings, education and other governance activities scheduled throughout the year. Directors are expected to:

  • Be a member of at least one Board committee
  • Prepare for and actively participate in Board and assigned committee meetings
  • Participate in strategic planning, Board development activities, required governance, regulatory and organizational education
  • Develop and maintain an informed understanding of GrandBridge's businesses, operating environment and strategic priorities
  • Be available for additional meetings when significant strategic or governance matters arise
  • Candidates should have the capacity and flexibility to dedicate the time required to fully participate in the work of the Board and its committees.

Director Compensation

Directors are compensated in accordance with GrandBridge Corporation's Board remuneration framework.

Eligibility & Independence

Candidates must satisfy applicable director eligibility, independence and conflict-of-interest requirements established through GrandBridge's governing documents, shareholder requirements and applicable legislation and regulation. As part of the selection process, candidates will be asked to disclose business, professional, municipal or other relationships that could reasonably create an actual, potential or perceived conflict of interest.

Different Perspectives Make Us Stronger

Strong governance benefits from different experiences, backgrounds, perspectives and ways of thinking. GrandBridge is committed to an inclusive Board recruitment and succession process. We welcome EOIs from qualified candidates whose experiences and perspectives will broaden the collective capabilities of the Board and contribute to thoughtful, informed and balanced decision-making.

Interested?

If you are an experienced leader who brings strategic perspective, sound judgment and a commitment to effective governance, we invite you to submit and EOI. Please submit your resume and a brief letter of interest describing the experience, expertise and perspective you would bring to our Boards of Directors through our online careers’ portal at https://grandbridgecorporation.com/careers. EOIs will be considered within the context of the Boards’ current and future mix of skills, experience, diversity and succession requirements.

Deadline for EOI’s: November 11, 2026
