Position Summary
The role is intended for a transactional generalist who can support a broad range of commercial, strategic and technology-driven matters across DTCC’s businesses. We are looking for someone with strong drafting and negotiation skills, as well as the ability to think critically and creatively about legal risk. The successful candidate will take ownership of assigned tasks, thrive in a collaborative environment, and enjoy working closely with colleagues and partners across a global organization.
Specific Responsibilities
Provide legal guidance to DTCC businesses on transactional matters, including customer agreements, strategic partnerships, new product offerings and business initiatives.
Review, draft and negotiate a wide variety of contracts (including data, software and technology licenses, SaaS agreements, development agreements, partnership agreements, marketing agreements, professional services agreements), balancing business objectives while appropriately mitigating risk to DTCC.
Advise on legal and contractual aspects of responses to client due diligence requests, RFIs and RFPs
Partner closely with business, technology, risk, compliance, procurement, finance and other stakeholders to support transaction execution and practical, risk-based decision-making. Provide advice on questions relating to contract interpretation and enforceability.
Support the continuous improvement of standard form agreements, contract processes and legal policies and procedures in collaboration with other members of the General Counsel’s Office.
Support strategic transactions, including mergers and acquisitions, divestitures, investments, joint ventures and commercial partnerships, including coordinating diligence, drafting and negotiation, closing support and post-closing implementation as needed.
Collaborate with other members of the General Counsel’s Office, including colleagues in Europe and APAC, to ensure a consistent approach to legal issues across DTCC businesses.
Handle other legal matters or ad-hoc projects as requested by the Managing Director and Deputy General Counsel

Qualifications
7-10 years as a practicing attorney
J.D. from an accredited law school; current U.S. bar admission
Specific Qualifications
Minimum of 5 years of experience with a law firm, financial services firm or financial services regulator
At least 5 years of transactional experience, including as lead drafter and negotiator
Experience with, or demonstrated interest in, digital assets and emerging technologies, including AI and distributed ledger technology, is a plus
