ABOUT THE POSITION
This role sits at the heart of Generate Capital’s transactional engine. The Counsel will serve as a trusted legal partner to Generate’s team across a diverse portfolio of transactions, including debt and tax equity financings, M&A, and other matters core to the operation and management of our energy and infrastructure assets.
The ideal candidate has deep experience structuring and closing complex financing transactions and is comfortable moving across transaction types and asset classes as the platform grows. This is not a narrow execution role; it requires sound judgment on deal structure, the ability to manage multiple transactions simultaneously, and the confidence to advise internal stakeholders across cross-functional departments in a fast-paced environment. This person must be ready to own matters independently and step into a wide range of legal needs as they arise.
What you will be doing at Generate Capital as Counsel:
Act as borrower’s counsel representing Generate in structuring and negotiating financing documents across a range of transaction types including construction loans, bridge loans, term debt, and tax equity investments
Support M&A and strategic transactions (including acquisitions, divestitures, and joint ventures) from initial term sheet and due diligence through closing and post-closing execution.
Provide legal support across the asset lifecycle—from development and construction through operations, refinancings, and exits—helping to identify, allocate, and resolve commercial and financing risks as issues arise.
Drive standardization of transaction structures, processes, and documentation across Generate’s investment portfolio
Advise the capital markets and investment teams on trade-offs across various structures, terms, and financing sources
Partner with cross-functional teams, including development, asset management, tax, and finance—to facilitate timely transaction execution and resolve issues as they arise
Adapt quickly to new asset types and financing structures and bring sound judgment to novel situations where the answer isn’t always obvious
Candidate qualifications & core characteristics:
JD from an accredited law school and active bar membership; approximately 4–8 years of legal experience
Experience at a leading law firm or in-house representing borrowers and/or lenders in project finance, tax equity, construction finance, or infrastructure lending transactions is required
Familiarity with energy or infrastructure asset classes, including renewables, digital infrastructure, or large-load power is a meaningful plus
Tax equity experience is a strong plus but not required
Comfortable managing multiple live transactions simultaneously, working across internal teams, and exercising independent judgment without extensive support structure
Strong attention to detail, sound drafting instincts, and good interpersonal skills; this role works closely with capital markets, development, asset management, and finance teams
Collaborative, with strong judgment under ambiguity
Generate’s compensation packages are dependent on the facts and circumstances of each case. Salary decisions take into account a wide variety of factors including, but not limited to: skill sets, experience and training, licensure and certifications, geographic location, and other business and organizational needs. A reasonable estimate of the base salary range for this role is $200,000 – $275,000. In addition, the compensation package may include a discretionary bonus and other benefits, including health care benefits, retirement benefits, benefits permitting paid days off (including sick leave, parental leave, and paid time off or vacation benefits), and other benefits that must be reported for federal tax purposes. It is not typical for an individual to be hired at the top of this range.
