The Counsel role supports internal clients including treasury, corporate development, investments and accounting. Counsel will prepare, review and negotiate a variety of agreements, offering materials, and other documents related to M&A, finance, and investment transactions. Counsel advises and makes recommendations on laws and regulations, and other compliance-related implications, as they pertain to M&A, finance, and investment transactions.

Counsel manages legal and compliance aspects of due diligence for M&A, finance, and investment transactions.

Specifically, Counsel will prepare and review a variety of agreements relating to M&A, finance and investment transactions, including NDAs, term sheets, acquisition/divestiture agreements, consulting agreements, vendor agreements, transaction checklists, loan agreements, receivable financing agreements, prospectuses, and investment documents.


Counsel will stay abreast of new laws and regulations relating to M&A, finance and investments and make recommendations regarding compliance with such laws. 

The ideal candidate will have:

  • A minimum of five years of M&A, finance, and investment transaction experience obtained in a law firm or through a combination of law-firm and in-house settings, with substantial experience drafting, negotiating and running complex transactions
  • Experience with structured finance and securitizations, securities laws and corporate governance, strongly preferred
  • Excellent writing and communication skills, particularly to assist a non-legal audience in understanding complex legal and regulatory concepts and requirements
  • Strong judgment, business acumen, and analytical skills
  • Forward thinking and creative with a strong problem-solving orientation
  • Professional, confident, and collaborative demeanor with opposing counsel and will work well and communicate effectively with individuals at all levels of the organization
  • Ability to confidently present and advocate for the implementation of ideas in a professional manner
  • Exceptional organizational, prioritization, and time management skills with the ability to work efficiently under deadlines and juggle multiple high-priority projects
  • Strong project and time management skills, especially in the context of transactions
  • Demonstrated ability to prioritize effectively; take initiative; be adaptable and flexible, and able to thrive in a fluid environment characterized by multiple and changing priorities
  • Attention to detail
  • Clear understanding of and adherence to ethical principles, company values, code of conduct and policies
