We are looking for a proactive Manager to maintain and further develop our corporate governance framework. You will ensure our board operations keep pace with our rapid product releases and global expansion. Operating in a highly regulated environment, you will ensure our corporate actions align with both company law and financial services regulations.
Responsibilities
- Support Legal Team in carrying out company secretarial function for global entities, ensuring full compliance with local statutory and regulatory requirements.
- Corporate Actions: Oversee the drafting and circulation of shareholder and board resolutions, while managing the formal administration of corporate seals and usage protocols.
- Filing Excellence: Act as the final reviewer for all statutory and regulatory filings to ensure absolute accuracy and adherence to legal deadlines.
- Board Operations: Direct the end-to-end logistics and coordination of Shareholder and Board meetings, ensuring seamless execution and professional stakeholder engagement.
- Project Liaison: Serve as the primary point of contact for external secretarial service providers and internal stakeholders on complex global corporate projects.
- Strategic Reporting: Synthesize complex governance data into clear, periodic updates for internal leadership and relevant stakeholders.
- Team Leadership: Provide mentorship and guidance to direct reports, establishing clear prioritization and a robust QA process to ensure all deliverables meet executive standards.
- Digital Transformation: Drive departmental efficiency by implementing AI-driven tools and automated workflows to modernize the secretarial function.
- Policy & Workflow Design: Support the formulation of group-wide corporate policies, document templates, and standardized workflows to ensure global operational consistency.
- Budgetary Management: Facilitate the team annual budget and expense forecasting, ensuring cost-effective management of external vendors.
- Technical Research: Conduct in-depth research and analysis of evolving corporate laws to proactively advise the internal stakeholders on necessary governance adjustments.
- Strategic Support: Execute high-priority ad hoc tasks and special projects as required by the management.

Requirements
- Bachelor’s degree in Business Administration, Corporate Governance, Law or related disciplines
- 6 to 8 years company secretarial experience
- Direct people management experience is an advantage, preferably within a legal or compliance function
- Members and students of HKCGI, CSIS, MAICSA, ICSA and ICPA are welcome
- Excellent command in spoken and written English
- Computer literate; Proficient in MS Office applications
- Experience in utilizing entities management platforms and other digital tools is an advantage
- Self-motivated and detail-oriented
- Able to prioritize tasks and work independently
- Exposure to corporate governance and regulatory practice of numerous jurisdictions across the world
