The Paralegal will be responsible for providing support to the attorneys in the Legal group primarily with respect to Hamilton Lane investment funds and separately managed accounts.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
- Assist attorneys with various matters, including fund documents, regulatory filings and corporate resolutions
- Prepare formation and governing documentation for new entities
- Communicate with clients and fund investors, outside counsel and Hamilton Lane’s business units regarding status and timing of closings
- Post-closing organization and management of transaction documents
- Serve as point of contact to provide transaction and other legal documents to other departments in Hamilton Lane and outside service providers
- Assist business personnel with research and data gathering projects in support of client and prospect presentations
- Maintain corporate records of Hamilton Lane fund entities
- Prepare and maintain electronic files of closing documents for Hamilton Lane funds
- Prepare filings and maintain registrations of Hamilton Lane companies in foreign countries
- Special projects as required
NECESSARY QUALIFICATIONS; Education and/or Experience:
- Paralegal training (certificate) and minimum two years work experience in a legal environment, preferably a corporate department of a reputable law firm or in-house legal department. BA/BS and/or private equity experience a plus.
- Ability to review and draft legal documentation and to identify certain issues independently
- Excellent verbal and written communication skills
- Extremely detail-oriented and organized
- Proficient in MS office applications (Word, Excel, Powerpoint) and Adobe Pro
- Ability to interface effectively with clients, peers and counterparties
- Ability to simultaneously manage many assignments and quickly shift focus from one project to another as circumstances dictate
- Ability to work effectively and independently in a demanding, fast-paced environment
- Must be eligible to work in the United States without requiring sponsorship
