Job Summary

The Corporate Paralegal supports the General Counsel and legal function in executing transactions, preparing and managing legal documents, and maintaining corporate records. This role coordinates agreements and other legal work from initial draft through signature and post-closing organization. The Corporate Paralegal prepares drafts and revisions using approved forms and attorney direction, tracks open issues and deadlines, coordinates with internal stakeholders, customers, escrow agents, and outside counsel, and helps ensure that legal files are accurate, complete, and accessible.

The successful candidate is a detail-oriented legal professional who can manage multiple workstreams, exercise sound judgment with confidential information, and move transactions forward without losing sight of document accuracy or required approvals.

Key Responsibilities

Transactions and Agreements

  • Coordinate legal aspects of corporate and commercial transactions, including maintaining timelines, closing checklists, document lists, signature packets, and post-closing deliverables.
  • Prepare initial drafts, revisions, redlines, summaries, and comparison documents for attorney review, using approved templates and instructions. Documents may include confidentiality agreements, aircraft purchase and lease agreements, amendments, consents, certificates, closing documents, and other corporate or commercial agreements.
  • Support the preparation, review, execution, and recordkeeping of Jet Club, fractional ownership, and other business agreements as assigned by the General Counsel.
  • Track drafts, comments, approvals, signatures, and outstanding items; follow up with internal stakeholders and outside parties to keep matters moving toward completion.
  • Coordinate electronic signatures and closing logistics; verify that executed documents are complete and filed in the appropriate repository.
  • Assist with due diligence by organizing requests and responses, collecting documents, maintaining secure files, and tracking open questions.

Sales and Relationship Support

  • Partner with Sales and the General Counsel to move prospective and renewing Jet Club and fractional ownership agreements from approved terms through execution.
  • Serve as a responsive point of contact for prospective and existing customers on the status and logistics of their agreements, including document requests, signature steps, and expected next actions.
  • Communicate with high-net-worth individuals and their authorized representatives with professionalism, discretion, accuracy, and attention to the level of service expected in a private aviation relationship.
  • Coordinate with Sales to resolve incomplete paperwork, identify discrepancies between approved terms and draft documents, and escalate substantive legal or commercial questions to the appropriate decision-maker.
  • Maintain accurate records of agreement status, outstanding items, and key communications so Sales and the legal team have a consistent view of each transaction.
  • Support amendments, renewals, ownership changes, and other post-signature documentation, as applicable, under the General Counsel’s direction.

Corporate Governance and Legal Records

  • Maintain corporate records, including entity documents, resolutions, written consents, minutes, and related approvals.
  • Assist with preparing board and committee materials, resolutions, consents, and minutes. Coordinate distribution and execution of governance documents as needed.
  • Maintain organized legal matter files and contract records, including key dates and other information identified by the legal team.
  • Support entity maintenance and filings in coordination with the General Counsel, outside counsel, and relevant internal teams.

Legal team coordination

  • Coordinate assigned legal matters with Sales, Finance, other business teams, outside counsel, and counterparties.
  • Keep the General Counsel and other executives organized and punctual, proactively managing schedules, reminders, and priority tasks.
  • Proofread and quality-check legal documents for consistency, completeness, formatting, defined terms, exhibits, signature blocks, and version control.
  • Help improve legal templates, intake processes, trackers, filing practices, and transaction workflows under the General Counsel’s direction.
  • Protect privileged, confidential, and sensitive information. Escalate requests for legal interpretations, negotiated exceptions, or commitments outside approved terms to the General Counsel.
  • Ensure all tasks and assignments are completed accurately, on time, and with attention to detail.
