Foley & Lardner LLP is seeking an experienced Corporate Paralegal to support attorneys in the Corporate Transactions and Finance practice areas. This role provides transactional support for financing transactions, related corporate matters, and matters involving multiple priorities.

Responsibilities
  • Corporate Governance: Assist with entity formation, drafting governing documents, and maintaining corporate records.
  • Debt and Credit Transactions: Assist with loan documentation, UCC filings, and closing corporate credit facilities.
  • Securities Offerings: Assist with preparation of registration statements, periodic reports, and public or private debt/equity offerings.
  • Regulatory Compliance: Prepare and file regulatory and compliance documents, including Form D, Form ADV, Blue Sky filings, FATCA/CRS, Beneficial Ownership reporting.
  • Investor Onboarding & Transactions: Review investor subscription materials for accuracy and completeness and track investor submissions for follow-up, including managing anti-money laundering (AML) and know-your-customer (KYC) documentation.
  • Document Review: Review finance and closing documents, including credit agreements, security agreements, pledge agreements, indentures, payoff documents, authority to file liens and terminations, and other UCC-related requirements.
  • Closing Management: Support pre-closing, closing, and post-closing activities for mergers and acquisitions, joint ventures, financings, and strategic investments.
  • Client Relationships: Work with clients in relation to instructions, fund subscriptions, and closing documentation.
  • Document & Data Management: Maintain fund status charts, prepare and manage critical dates and closing checklists, track deliverables, and manage data rooms.
  • Compliance Support: Track regulatory updates, review marketing materials, and maintain compliance databases.
  • Licenses & Permits: Review existing licenses and permits, research and summarize requirements, prepare applications, and coordinate required follow up with clients and agencies.
  • UCC Services: Draft and arrange for filing of UCC statements, amendments, and terminations; draft UCC financing documents; and conduct, review, and summarize UCC, bankruptcy, and litigation lien searches.
  • Document Drafting: Draft ancillary legal documents under attorney supervision, such as finance and transaction documents, checklists, notices, corporate approvals, agreements, contracts, corporate resolutions, officer’s certificates, bylaws, stock certificates, collateral receipt letters, and other supporting documents.
  • Billable Hours: Consistently achieve billable hour expectations set by the firm (including approved non-billable time).
Qualifications
  • Bachelor’s degree in legal studies or other program with a minimum of 24 credit units in law-related courses from an accredited school, Certificate of Completion of a Paralegal Program approved by the ABA, or a California Paralegal Attestation Letter pursuant to CA Business and Professions Code §6450 required.
  • Minimum of five (5) years of paraprofessional experience in a law firm or professional services environment required.
  • Proficiency in MS Office, Excel, DocuSign, Carta, EDGAR Next, EFD, and FRANSES.
  • Ability to maintain strict confidentiality in all matters and exercise sound judgment.
  • Excellent research and analytical skills, with critical thinking abilities.
  • Strong attention to detail and commitment to quality, with the ability to independently review work for accuracy, completeness, consistency, and compliance with applicable firm policies, procedures, and quality standards.
  • Advanced organizational and time management skills, with ability to manage complex workflows and competing priorities, anticipate needs and deadlines, and consistently deliver high-quality work in a deadline-driven environment.
  • Ability to communicate clearly and professionally with internal teams, clients, and regulatory agencies.

In support of transparency and equity in the workplace, Foley provides salary ranges for all positions. The figures below represent the full compensation range for this position. The actual amount offered will be between the range minimum and midpoint based on the following factors: education, experience, geographic market, and internal pay equity at Foley. Foley & Lardner LLP will consider qualified applicants with criminal histories in a manner consistent with California’s Fair Chance Act.

-San Francisco and Silicon Valley - $116,500 to $174,800 #LI-Hybrid
