Position Summary
Hilco Global Professional Services, LLC is seeking a Corporate Paralegal & Executive Assistant to the General Counsel to join its Legal Department at its office located at 5 Revere Drive, Suite 206, Northbrook, IL 60062.
Responsibilities:
- Draft, review, edit and negotiate agreements and contracts, including non-disclosure agreements and service agreements.
- Liaise with outside counsel, Hilco’s business units operating companies, registered agents and service providers, coordinate information and documents.
- Analyze and provide summaries of legal documents.
- Ensure compliance with state and federal laws, including formations, dissolutions, foreign qualifications, amendments, and domestications.
- Manage corporate records and filings, including drafting and reviewing limited liability company agreements, corporate resolutions, written consents, Secretary’s Certificates, and Incumbency Certificates.
- Work with entity management platforms (CSC EM, GEMS).
- Support internal corporate governance, produce extensive corporate charts in Visio and PowerPoint.
- Assist with mergers and acquisitions projects.
- Analyze founding documents (LLC agreements, corporate resolutions) to ensure compliance with their provisions.
- Conduct research on legal issues, regulations, and compliance matters to support corporate actions.
- Perform compliance duties, such as KYC process for new counterparties in World Check, Aspirent.
- Coordinate internal and external meetings and calls, prepare and distribute materials, agendas, pre-reads, manage reminders.
- Screen and prioritize incoming messages; draft, edit, or route emails on behalf of the General Counsel.
- Keep and maintain document management systems.
- Prepare, edit, and proofread executive communications, reports, presentations, and documents using MS Office, Adobe, and AI tools.
- Draft, review, and send executive-level emails, letters, and memos.
- Organize travel arrangements and manage executive expense reports.
- Assist in tracking and managing executive budgets by overseeing invoices and payments, and identifying discrepancies.
- Collaborate with finance teams to ensure alignment between departments.
- Track project metrics, organize project files (both physical and digital), and conduct research.
- Ensure office supplies, equipment, and IT services are available and functioning.
- Act as a liaison with office managers and IT support to troubleshoot and resolve issues promptly.
- Serve as the primary point of contact for internal and external stakeholders, including clients, board members, and business partners.
- Provide backup support to team members and assist with various ad-hoc projects to ensure seamless operations across departments.
Requirements
- Bachelor’s degree, or foreign equivalent in Paralegal Studies, Political Science, or a related field, plus 10 years of experience as a corporate paralegal or related occupation.
- Performing review and revisions of nondisclosure agreements, contracts, and limited liability company agreements.
- Preparing various corporate governance documents; tracking and coordinating filings with regulatory agencies; managing registered agent communications; handing annual report filings; filing entity formations, amendments, foreign-state qualifications, trade name registrations, withdrawals, apostilles/legalizations, and cancellations.
- Responding to Know Your Customer (KYC) and Ultimate Beneficial Owner (UBO) information requests.
- Responding to SOPs and subpoenas, including running internal email searches for document requests.
- Performing conflict checks and assisting with drafting disclosure schedules for bankruptcy court filings.
Compensation & Benefits
The position offers an annual base salary of $84,053, along with eligibility for an annual discretionary bonus. Skills Required
