Job Description
The Office of the Secretary - Corporate Legal, headed by the Corporate Secretary who reports to the firm's General Counsel, partners with senior management, directors, control groups, lines of business and corporate units to promote effective and consistent governance of the firm, its branches, subsidiaries and affiliates (each, an "Entity"). The team also maintains the legal good standing status of these Entities in the required jurisdictions with responsibility for various regulatory reporting in all locations.
As an Assistant General Counsel/Assistant Corporate Secretary - Vice President within the Office of the Secretary - Corporate Legal, you will be responsible for acting as a trusted advisor to senior management and boards of directors of J.P. Morgan's businesses, subsidiaries and affiliates in Japan, providing corporate governance counsel and support. You will be based in Tokyo, Japan, reporting indirectly to the Regional Lead of the Office of the Secretary - Corporate Legal for Asia Pacific.
Job responsibilities

  • Promoting and fostering consistent standards for legal entity governance that support the firm's strategic objectives and providing guidance and oversight to non-Legal corporate secretaries in accordance with internal model and standards
  • Advising and assisting, as appropriate, with resolution and recovery plan related matters and other local, regional and global projects
  • Organizing board and shareholder meetings, including collecting agenda items and preparing the meeting minutes
  • Advising on, and assisting with, governance matters requiring board attention and regulatory requirements
  • Advising directors on their legal duties and on board governance practices, including organizing and implementing director orientation and continuing education
  • Organizing and maintaining corporate records and certifications
  • Managing and executing local processes including maintenance of local policy documents (e.g., related to signing authorities, company and department chops and the Board of Directors), operation of chop affixture, and creation of capital organization charts upon requests
  • Advising on corporate procedures and record retention, as relates to governance matters
  • Managing certain statutory filings in consultation with external counsel where appropriate
  • Managing certain regulatory filings including researching of regulatory authorities requirements, preparation of required information/documents and submission of regulatory filings; and
  • Advising on company law and corporate governance matters, including corporate restructuring, capital actions, joint ventures, incorporations and liquidation


Required qualifications, capabilities, and skills

  • Native level Japanese and high proficiency in English
  • University graduate in Law or related discipline
  • Ability to work as a collaborative and proactive member of a team
  • Must be meticulous, organized and take pride in your work
  • Ability to work in a fast-paced environment and within tight deadlines
  • Strong interpersonal, presentation and communication skills


Preferred qualifications, capabilities, and skills

  • Minimum 2 years of work experience in legal or financial industry
  • Qualification as a Japanese lawyer is advantageous but not necessary
  • Experience in regulatory reporting/filing
