Corporate Legal Counsel

Job Summary:

About the Role:

We are seeking an experienced Corporate Legal Counsel for a permanent part-time position providing strategic legal support to the Group entities, across a broad range of corporate and commercial matters. The successful candidate will act as a trusted business partner to senior management and cross-functional teams, supporting complex transactions, governance matters, commercial negotiations and day-to-day legal operations.

 What You Will Need to Do:

• Draft, review and negotiate a wide range of commercial agreements, including service agreements, procurement contracts, NDAs, partnership agreements, GDPR, DORA & other regulatory schedules, and technology-related contracts.
• Advise the business on corporate, commercial and operational legal issues.
• Advise on and handle employees’ issues.
• Advise on and handle banking and other financial agreements.
• Advise on and handle disputes with clients & suppliers.
• Coordinate shareholder matters, board of directors’ meetings & resolutions, powers of attorney, delegated authorities and internal approvals.
• Advise on legal risks and provide practical, business-oriented solutions.
• Support M&A transactions, corporate restructurings and strategic projects, including legal due diligence and transaction documentation.
• Liaise with external counsel, regulators, corporate service providers and other stakeholders where required.
• Monitor legal and regulatory developments and assess their impact on the business.
• Provide legal support to various business functions, including finance, procurement, sales and operations.

Qualifications:

•   Degree in Law
•   Admitted member of the Greek Bar Association
•  Proven experience in corporate governance responsibilities, at least 10 years.
•  Significant post-qualification experience in corporate and commercial law, preferably gained in a reputable law firm and/or multinational corporate environment.       Strong experience in drafting and negotiating complex commercial agreements.
• Experience in cross-border transactions and international business environments will be considered an asset.
• Excellent analytical, communication and stakeholder management skills.
• Ability to work independently, manage multiple priorities and provide legal advice in a fast-paced environment.
