Georgeson is a key brand within Computershare’s Investor Engagement division, responsible for providing expert strategic support during high-stakes shareholder events such as Annual General Meetings, M&A transactions, shareholder activism, and proxy contexts.
The Corporate Governance Senior Analyst role operates within this brand and supports advisory work across all major European markets, delivering high-quality client deliverables in a fast-paced and deadline-driven environment. The role requires regular collaboration with colleagues and stakeholders across multiple teams, departments, and business units within Georgeson and across Computershare. This includes coordinating with internal specialists to support sales pitches, client engagements as well as contributing to the organisation’s global thought leadership initiatives.
A role you will love
As Corporate Governance Senior Analyst you will be responsible for providing strategic advisory across a broad range of corporate governance matters, including executive remuneration, board composition and effectiveness, shareholder rights, share capital, etc., to support clients in preparing for AGMs, EGMs, M&A transactions, and activist situations.
The role is also responsible for delivering high-quality analysis of the corporate governance related annual reporting of Georgeson Advisory clients, assessing disclosures from the perspective of proxy advisors, ESG rating agencies, institutional investors and other relevant stakeholders.
You will drive Georgeson’s contributions to Computershare’s Investor Engagement content and thought leadership by coming up with original thinking, research, drafting, for the preparation of publications or insights.
Further Key responsibilities
Lead analysis of corporate governance practices across public disclosures and governance frameworks of clients and peers to identify potential investors, proxy advisors, and ESG rating agency concerns, and recommend improvements that strengthen investor support.
Deliver agenda analysis reports on draft AGM documentation and shareholder resolutions to anticipate proxy advisor recommendations and potential voting outcomes, and inform client decision-making.
Conduct in-depth bespoke research and analysis on clients’ corporate governance arrangements to identify governance risks, anticipate investor criticism, and assess potential impacts on shareholder voting behaviour.
Provide strategic corporate governance advisory to clients preparing for AGMs, EGMs, and other shareholder events to enhance governance positioning and mitigate shareholder opposition.
Maintain and apply advanced knowledge ofcorporate governance and sustainability developments across key European markets to ensure client advice reflects evolving best practice, regulatory expectations, and investor policies.
Contribute to the development of governance insights and thought leadership through newsletters, proxy season reviews, and client memos to strengthen client awareness of market trends and reinforce advisory credibility.
What will you bring to the role?
Experience in corporate governance analysis and/or extensive knowledge of corporate governance principles and practices.
Native-level or fluent Spanish language skills are required, as this role involves regular engagement with Spanish-speaking candidates and stakeholders.
Detail-oriented, eager to learn and highly analytical, with the ability to produce high-quality written reports and presentations.
Professional and excellent work ethic.
