The Opportunity:
As Corporate Counsel, you will report to the Senior Corporate Counsel and will support and lead a wide range of responsibilities on a dynamic legal team. You will provide counsel on various corporate matters, including SEC reporting, corporate governance, public disclosure, financing, risk management and a variety of other legal and business issues. You will also partner closely with our clinical development team to support the rapid initiation and execution of clinical trials across Relay Tx’s portfolio.
Your Role:
- You will support compliance with SEC and NASDAQ rules and regulations, including filing 10-Ks/Qs, 8-Ks, Section 16 filings, the proxy statement and registration statements.
- You will partner closely with and support the clinical development team in all aspects of clinical trial start up and maintenance.
- You will draft, review and negotiate clinical trial agreements in support of Relay Tx’s clinical trials as well as independently review and finalize patient informed consent forms and other clinical trial related materials.
- You will additionally review, draft and negotiate a wide variety of other agreements in support of Relay Tx’s research and development programs.
- You will collaborate with Relay Tx’s investor relations team with external communications, including the corporate website, press releases and investor presentations.
- You will provide transactional support on corporate aspects of financing activities and strategic external arrangements.
- You will advise on matters related to equity plan administration in collaboration with the finance and people teams.
- You will play a key role in overseeing various compliance policies, including our Code of Business Conduct and Ethics and Insider Trading Policy, and driving a culture of compliance throughout the organization.
- You will assist in preparation for annual stockholders’ meetings.
- You will assist with corporate governance matters and compliance with third-party obligations and advising the management team on these issues, including monitoring trends in corporate governance best practices.
Your Background:
- Minimum of 4 years’ corporate legal experience in a high-growth biopharmaceutical company and/or a nationally recognized law firm, with preferably at least two years at a nationally recognized law firm.
- J.D. from an accredited law school; active membership in at least one state bar.
- Demonstrated expertise in corporate law, including substantial experience with SEC and NASDAQ rules and regulations, corporate governance and corporate finance.
- Preference for experience reviewing, drafting, redlining, and negotiating a variety of contracts within the life sciences industry, but not required.

Estimated Salary Range: [$161,000 - $230,000].
The range provided above is based on what we believe to be a reasonable estimate for this job at the time of posting. Actual base salary will depend on a number of factors, including but not limited to, a candidate’s education, experience, skills and location.

Skills Required
