Position Overview
The Corporate Counsel will serve as a trusted legal advisor to the company, providing counsel on a broad range of corporate, commercial, and compliance matters. Reporting directly to the General Counsel, this role requires a business-minded attorney who can balance legal risk with strategic objectives, deliver practical advice, and build strong cross-functional partnerships.
Key Responsibilities
- Commercial Contracts: Draft, review, and negotiate a wide range of agreements, including MSA’s, customer agreements, NDAs, licensing agreements, and distributor arrangements.
- Regulatory & Compliance: Ensure company policies and practices comply with federal, state, and international laws; assist with compliance programs, training, and audits.
- Cross-functional Support: Collaborate with business teams—including Finance, HR, Compliance and Operations —to deliver timely, practical legal advice.
- Risk Management: Identify and mitigate potential legal risks affecting the business and recommend proactive strategies.
- Mergers & Acquisitions: Support due diligence, transaction structuring, and integration of acquisitions as needed.
- Employment & HR Support: Provide guidance on employment matters, internal policies, and dispute resolution (in partnership with HR).
- Intellectual Property: Oversee protection of company IP, coordinate with external counsel on filings, and advise on IP strategy.
- Dispute Resolution: Manage pre-litigation disputes and coordinate with outside counsel on litigation or arbitration.
Qualifications
- Juris Doctor (JD) degree from an accredited law school and active membership in good standing with at least one U.S. state bar.
- 4+ years of relevant legal experience in a corporate legal department or reputable law firm (in-house experience preferred).
- Strong background in corporate law, commercial contracts, and compliance.
- Excellent analytical, communication, and negotiation skills with a pragmatic approach to problem-solving.
- Ability to manage multiple projects simultaneously in a fast-paced environment with minimal supervision.
- High ethical standards, sound judgment, and a collaborative mindset.
Preferred Skills & Experience
- Experience in technology, manufacturing, or other industrial sectors.
- Familiarity with data privacy, cybersecurity, or international regulatory frameworks.
- Comfort working in a global organization with cross-border transactions.
Skills Required
