The Role

Role Overview

The Corporate Counsel is a strategic partner to the executive team, providing legal guidance that advances the company's strategic objectives. They advise functional teams (Executive Team, HR, IT, Operations, Finance, Sales, Mergers and Acquisitions) on legal and regulatory matters for holding company and various subsidiaries. The Corporate Counsel works closely with internal stakeholders and external counsel to deliver timely, comprehensive legal support, proactively identify and mitigate risk, and present clear, actionable recommendations that enable effective decision-making.  

Key Responsibilities

  • Provide expert advice and counsel to functional teams of parent company and subsidiaries regarding legal, risk, and compliance matters related to the company's projects and services.
  • Manage paralegal staff.
  • Lead entity management and general corporate governance activities.
  • Review, negotiate, and prepare contracts, requests for proposals, and other legal documents for the company and acquired businesses
  • Advise on legal entity licensing requirements and compliance registrations for subsidiary companies, ensuring timely completion and alignment with local, state, and federal regulations.
  • Support subsidiaries with ongoing efforts to maintain accurate records of annual reporting, licensing and regulatory filings and support audits or inquiries related to integration efforts.
  • Advise on mergers & acquisitions, joint ventures, entity formation and organizational activities undertaken by affiliated companies.
  • Assist in building new legal operations processes to advance delivery of efficient legal services.
  • Assist and advise in creating new policies related to, operations, HR, and Data Privacy matters.
  • Partner with finance executives to lead and manage insurance policies, continuous coverage analysis, and ongoing risk mitigation assessments.
  • Advise and assist on project bonding requirements and managing broker/surety relationship
  • Partner with Sales and Finance teams to ensure efficient contracting process for existing and new operating subsidiaries.
  • Oversee management of Intellectual Property assets with outside counsel.
  • Bachelor’s Degree and J.D. degree from accredited institutions required.
  • Manage litigation matters, support due diligence and other acquisition related matters with external counsel.
  • Research complex and nuanced legal issues; create, update, and maintain actionable guidelines and best practices.
  • Setting or influencing strategic policies and initiatives, including ensuring that contract terms are consistent with business objectives.
  • Employ sound judgment to balance legal risk with business needs and goals.
  • Maintains corporate records of litigation, claims, and disputes.
  • Ensure all legal files are up to date, organized, and properly stored in relation to all ongoing document retention policies and legal hold notices.
  • Run ad hoc projects and initiatives as required.

Qualifications

  • Minimum 5 years of legal experience, with a background in construction contract negotiations, corporate law, and compliance.
  • Prior experience supporting legal diligence and integration activities in a corporate or private practice setting.
  • Experience working in a private equity-backed or high-growth environment preferred.
  • Strong understanding of construction contract law and licensing/compliance matters, preferably in a multi-state or heavily regulated environment.
  • Excellent project management skills, with the ability to manage multiple priorities and stakeholders.
  • Superior written and verbal communication skills, including active listening, clear and concise delivery, and ability to confidently present information to key decision makers.
  • Excellent observation and critical thinking abilities.
  • Knowledge of the principles, methods, materials, and practices of legal research.

Work Requirements

  • Standard work hours are Monday through Friday, with additional hours as needed to meet business demands. Evening or weekend work may be required to support time-sensitive procurement activities or vendor engagements.
  • This role operates in a professional office environment and requires frequent use of standard office equipment, including computers, phones, printers, and filing systems. Occasional visits to warehouse, job site, or vendor locations may be necessary.
  • Occasional travel may be required (up to 20%) to support vendor relations, attend meetings, or conduct site visits across Zeus locations.
  • Ability to sit or stand for extended periods.
