The Role

NVIDIA redefined modern computer graphics, high performance computing and artificial intelligence. The company’s pioneering work in accelerated computing and AI is reshaping trillion-dollar industries, such as transportation, healthcare and manufacturing, and fueling the growth of many others.

NVIDIA is seeking a Corporate Counsel to join a dynamic and growing company and Legal team.

What you’ll be doing:

  • Provide advice and counsel on general corporate legal matters, including public company reporting and disclosure, securities and corporate governance matters, international subsidiary compliance, formation and reorganization, employment law, compensation and benefits, and other general legal advice to the business

  • Assist in corporate transactions, such as investments, acquisitions, financing and other strategic transactions, including conducting due diligence and drafting agreements

  • Assist with worldwide subsidiary management

  • Contribute to updating policies and developing procedures

  • Report to the Senior Director, Corporate Affairs

What we need to see:

  • Current member of the California State Bar in good standing

  • Law degree with excellent academic credentials

  • 4-6 years of experience working in an internationally/nationally-recognized law firm representing public companies or in-house legal department at a public company (a mix of both would be ideal)

  • Experience with U.S. securities laws, compliance and disclosure obligations, executive compensation and corporate governance rules

  • Experience in M&A and corporate finance

  • Familiarity with establishing and maintaining entities

  • Excellent communicator, with experience interacting with senior management and ability to work well with and relate to company personnel at all levels

  • Excellent legal and business judgment and attention to detail

  • Ability to think creatively, function independently and work proactively in a fast-paced environment

  • Ability to handle complexity and demands with a sense of urgency, drive and passion

  • Curiosity and willingness to seek matters outside of area of expertise

The base salary range is 192,000 USD - 304,750 USD. Your base salary will be determined based on your location, experience, and the pay of employees in similar positions.

You will also be eligible for equity and benefits. NVIDIA accepts applications on an ongoing basis.
