Arcadia is seeking a pragmatic and enthusiastic Corporate Counsel to promote the legal function’s mission of advising a high-growth healthtech/SaaS business, while supporting a culture of innovation, continuous learning and integrity. 


This role will be essential in advising Arcadia stakeholders on a variety of complex legal matters and will have a broad range of responsibilities, including providing legal guidance on go-to-market and strategic initiatives, as well as handling contract drafting and negotiations with strategic partners, channel partners, customers, and vendors. Your proactive, and solution-oriented approach will be valued as you effectively manage legal risks and foster strong relationships with internal business partners and stakeholders. 


What Success Looks Like

In 3 months

- Participate in our orientation program for all new employees.

- Understand the organizational structure and responsibilities within Arcadia. 

- Develop an understanding of Arcadia’s products and services, including commercial contracting lifecycle, CLM tool (Linksquares), Product roadmap, and go-to-market strategy.

- Embrace Arcadia’s mission-driven culture of happier, healthier days for all. 


In 6 months

- Developed a deep understanding of Arcadia’s business strategies and contributed to the legal strategy designed to support these objectives.

- Cultivated strong relationships with internal and external business partners, including Arcadia growth team, while working on initiatives such as transactions with leading academic medical centers, payors and life science/biopharma companies. 

- Drafted and negotiated commercial contracts that accurately reflect business objectives and manage risks, including Subscription Agreements, vendor/supplier contracts, technology contracts and partnership/channel agreements. 


In 12 months

- Be seen as a trusted advisor who provides practical, business-oriented legal advice and strives to find creative solutions that will help the business grow while managing risk. 

- Partnered with the General Counsel to lead the development and roll out of a comprehensive compliance program tailored to the needs of the channel partner organization. 

- Collaborated with colleagues to scale innovative processes for streamlining commercial transactions. 

- Have supported the readiness and release of products or features by identifying and driving resolution to varied legal issues related to commercial terms, IP, and other related legal, security/privacy and regulatory areas. 

- Have participated in special projects that challenged you and provided the opportunity to learn new areas of the law. 

What You'll Be Doing

  • Draft and negotiate commercial contracts, identifying those aspects of an agreement or transaction that matter most to the business, and being proactive and pragmatic in addressing potential issues. Examples of agreements include strategic transactions and channel technology agreements, SaaS agreements, data use agreements, marketing agreements, non-disclosure agreements and vendor contracts.
  • Leverage your deep knowledge and expertise regarding Arcadia’s products and features to ensure Arcadia’s commercial contract templates and related policies are accurately maintained and updated. 
  • Assist in the development of legal resources such as templates, playbooks, policies, and training materials, including to integrate and harmonize those materials for Arcadia’s newly-acquired “CareJourney by Arcadia” business . 
  • Support the business in other areas as needed based on business needs including data privacy/cyber security, ethics & compliance, and IP.
  • Monitor legal and regulatory developments that are relevant to Arcadia’s business, and help prepare for and minimize risks that may arise in the future.
  • Depending on interest, career goals, and experience, may also assist on various other legal projects in different functions that will inevitably arise at a rapidly growing company.

What You'll Bring

  • The successful candidate must have a J.D. degree with admission to, and in good standing with, at least one state bar. Although we prefer someone with approximately 5-10 years of legal experience that includes both law firm and healthtech/in-house experience, we welcome all candidates who believe they will be successful in this role.

This position is responsible for following all Security policies and procedures in order to protect all PHI under Arcadia's custodianship as well as Arcadia Intellectual Properties. For any security-specific roles, the responsibilities would be further defined by the hiring manager.
