We are seeking an experienced Corporate Counsel to join our global legal department, based in India. This is a substantive in-house role supporting commercial, corporate governance, compliance, and data privacy matters across India, the United States, Australia, and related jurisdictions. The role reports to the Lead Counsel, India, and works closely with the General Counsel, other legal colleagues, finance, HR, and business teams globally.
This position suits a lawyer with strong in-house experience who is comfortable operating with significant autonomy across a broad subject-matter portfolio in a fast-paced technology and professional services environment.
What you will do:
- Draft, review, negotiate, and finalize a broad range of vendor and commercial agreements, including technology licensing, SaaS, professional services, subcontracting, and channel partner agreements.
- Advise business teams on contract risk, negotiation strategy, and escalation points.
- Manage contracts through the full lifecycle using contract management software (Ironclad experience a strong advantage).
- Draft corporate resolutions, board minutes, powers of attorney, and other governance documents for global entities.
- Maintain corporate records, registrations, and statutory filings across multiple jurisdictions, including India (MCA/ROC), Australia (ASIC), and the US.
- Track and advise on legal and regulatory changes affecting corporate entities and operations across relevant geographies.
- Support compliance with India's Digital Personal Data Protection Act 2023 (DPDP Act), including data processing agreements, notices, and internal policy implementation.
- Advise on cross-border data transfer requirements and applicable privacy frameworks (GDPR where relevant, Australian Privacy Act, US state privacy laws).
- Maintain, draft, and update company policies across geographies on data privacy, records retention, and related topics.
- Provide legal guidance on India employment matters, including contractor classification, offer letters, separation agreements, and compliance with the Shops and Establishments Act, labour codes, and applicable state law.
- Support HR and finance on cross-jurisdictional employment questions as they arise.
- Advise on IP ownership, software licensing, trademark use, and confidentiality obligations in commercial agreements.
- Coordinate with external IP counsel on trademark registrations and maintenance across relevant jurisdictions.
- Manage relationships with external counsel in India and other jurisdictions.
- Coordinate legal hold obligations and support document retention processes.
- Support dispute resolution and pre-litigation matters as they arise.
- Partner with finance, HR, and business teams on legal questions arising from operations, procurement, and client engagements.

Qualifications and Skills:
- Minimum 6–8 years of post-qualification experience, with a minimum of 3 years in an in-house corporate counsel role; technology, IT services, or professional services industry strongly preferred.
- Demonstrated experience across India, the US, and Australia — candidates must have substantive working knowledge of legal and regulatory requirements in these jurisdictions, not merely exposure.
- Strong commercial contracts background, including SaaS and technology licensing agreements.
- Working knowledge of India's DPDP Act 2023 and practical experience advising on data privacy compliance.
- Experience with corporate entity management and regulatory filings (MCA/ROC in India; equivalent in other jurisdictions).
- Familiarity with employment law basics across India and at least one of the US or Australia.
- Experience with contract lifecycle management software; Ironclad experience is a significant advantage.
- Excellent drafting and negotiation skills in English — clear, precise, and commercially aware.
- Ability to manage multiple concurrent matters independently, prioritize effectively, and escalate appropriately.
- Proficiency in MS Office suite and legal document management systems.
- Strong organizational skills and exceptional attention to detail.
- Regional Indian language proficiency is an advantage for engagement with Indian regulatory bodies and local counsel, but is not required.
Education and Certifications:
- LLB or BA LLB / BBA LLB from a recognized Indian university; enrollment with the Bar Council of India is preferred.
- LLM or additional qualification in technology law, IP, international commercial law, or data privacy is advantageous.
