Acting under the direction of the Associate General Counsel (“AGC”) of Nihon Kohden North America, Inc. (“NKNA”), the Corporate Counsel / Senior Corporate Counsel will provide legal advice and services to NKNA and its Subsidiaries (collectively, “the Company”) in several areas of law applicable to a “generalist in-house counsel” role, including Antitrust; Contracts; Corporate Law; Intellectual Property; Labor and Employment, and Litigation and Investigations. Because the NKNA Legal Department already employs two Contracts attorneys, a Paralegal, and a Contract Lifecycle Management platform to manage Contracts, this is not a “Contracts Counsel” role, per se. Instead, the role will focus on “generalist” legal areas, with a particular emphasis on Corporate, Employment, IP, and Litigation/Investigations (with mentoring/guidance from senior attorneys). That said, knowledge of, or the ability quickly to learn, Contract drafting and review, will be a secondary requirement for this role, as the NKNA Legal Department takes on responsibility for Contracts across the entire Company.

Essential Functions and Main Duties

Assist the AGC and the Department by undertaking the following duties:

  • Partner with the Business to identify and analyze potential legal risks and claims that could negatively affect the Company
  • Provide Labor and Employment (primarily Employment) advice and counsel on a wide range of issues, mostly to the Company’s Human Resources Department(s) and to Company Management
  • Provide Intellectual Property advice and counsel to the Business, primarily acting as a liaison between the Company and outside IP legal counsel, and with mentoring/guidance from senior attorneys
  • Oversee and manage various Litigation and internal Investigation matters, under the direction of the Company’s Chief Legal and Compliance Officer (“CLCO”)
  • Provide general Corporate Law advice and counsel to the Business, under the supervision of the AGC and other Legal Department attorneys, such advice and counsel to include Mergers and Acquisitions
  • Monitor and advise on legislative and regulatory developments affecting the Medical Device industry in your areas of specialization
  • Manage, or assist in managing, outside counsel in various matters and tasks related to the subject matter noted above, particularly Employment, IP, and Litigation
  • Adhere to all company policies, procedures, and business ethics codes
  • Perform such other duties as the AGC and/or the CLCO may assign from time to time. NKNA Legal is in “growth mode” as it assumes responsibility for all legal services for additional NKNA Subsidiaries, so be prepared to be flexible in your duties as the Department expands its service offerings.

Qualifications

Education / Certification Required

  • Graduate of an ABA-accredited Law School (LLB, J.D., or similar)
  • Member in Good Standing of the California Bar

Experience Required

  • Minimum of 8 years’ relevant professional experience as an attorney
  • Minimum of 4 years’ experience as in-house counsel
  • Specific knowledge and experience in subject matter relevant to a generalist in-house counsel, including Contracts; Corporate Law; Intellectual Property; Labor and Employment; Litigation; and Investigations

Experience Preferred

  • Medical Device company experience (or, at a minimum, Life Sciences company experience)
  • Medical Device regulatory experience, including general knowledge of FDA regulatory matters and familiarity with the AdvaMed Code of Ethics on Interactions with U.S. Health Care Professionals

  • Ability to prioritize, drive, and manage multiple projects and initiatives simultaneously (i.e., strong Project Management skills)
  • Exemplary writing, editing, and presentation skills
  • Mature, independent judgment and excellent interpersonal skills, including the ability to present clear, concise recommendations to the Business in all relevant substantive areas
  • Strong relationship-building skills across functions and levels
  • Ability to communicate verbally and in writing and to receive and understand verbal and written instructions in English
  • Ability to work effectively, both independently and in a collaborative team environment
  • High ethical standards and sound professional judgment

Compensation

The anticipated range for this position is $180,000 to $220,000. Actual placement within the range is dependent on multiple factors, including but not limited to skills, education, experience and location.

Working Conditions

Schedule: The regular hours for this full-time position are 8:00 a.m. to 5:00 p.m., Monday–Friday, unless otherwise stated by the CLCO. Holiday, weekend, and evening work hours may be required. Regular hours may vary due to the needs of the Company or the Department and are subject to change at any time at the Company’s discretion.

Physical: May require some reaching, bending, stooping, squatting, crawling, kneeling, pushing, pulling, lifting, carrying up to 25 pounds, finger dexterity, repetitive motions, standing, walking, sitting, hearing, visual acuity, and color vision. More specific details may be provided as needed or requested.

Travel: Minimal to None

Customer Site Access: Not Required
