Job DescriptionSummary
The Corporate Counsel II position is responsible for handling a wide variety of moderately complex to complex legal matters as assigned by MedImpact’s Chief Legal Officer or their designee. These may include, but are not limited to: providing guidance to internal business partners; drafting and reviewing communications to internal business partners, clients, and third parties; trial preparation and strategy; drafting, reviewing, and negotiating contracts and settlement agreements; reviewing new legislation and analyzing their applicability to MedImpact’s business operations; and reviewing other legal documents for compliance with MedImpact’s policies and regulatory requirements.
Essential Duties and Responsibilities include the following. Other duties may be assigned.
- Assists in-house General Counsel and other attorneys with moderately complex to complex corporate governance matters and corporate development initiatives. Participates, as needed, in major legal actions and litigation efforts.
- Directs and monitors external legal counsel.
- Drafts, reviews, and/or negotiates legal documents and forms, licensing agreements, service agreements, settlement agreements and other contracts or agreements as necessary.
- Reviews and interprets a variety of agreements to ensure they meet corporate, regulatory and legal requirements for such documents.
- Responds to and assists internal business partners with legal questions and/or legal guidance for client issue resolution, including but not limited to, the Pharmacy Network Team, Contract Management, and the Regulatory Compliance team.
- Responsible for foreseeing and protecting company against legal risks. Performs risk assessment/risk analysis.
- Assists with monitoring and advising on regulatory requirements to ensure company-wide compliance.
- Keeps current with emerging regulations, state and federal laws pertaining to the Pharmacy Benefit Management industry. Monitors legal and regulatory development on a state and federal level; provides updates and input to management regarding laws, regulations and professional standards relating to the PBM industry.
- Oversees and performs other related duties, tasks and responsibilities as required, assigned or directed.

Must have at least 10+ years’ closely related experience. Pharmacy Benefit Management experience required. Pharmacy networks experience (pricing, contracts, etc.) required. Litigation management experience preferred.

Working Hours
This is an exempt level position requiring the incumbent to work the hours required to fully accomplish job responsibilities and reasonable meet deadlines for work deliverables. The individual must have the flexibility to work beyond traditional hours and be able to work nights, weekends or on holidays as required. Work hours may be changed from time to time to meet the needs of the business. Typical core business hours are Monday through Friday from 8:00am to 5:00pm.
