Responsibilities
- Lead the review, drafting, negotiation and structuring of operational and commercial agreements, including letters of award, conditions of contract, service agreements, energy performance contracts, procurement and supply agreements, consultancy agreements, concession agreements, NDAs, MOUs and other business agreements.
- Provide practical and timely legal advice to internal stakeholders on operational and commercial matters, including contractual obligations, risk mitigation, legal issues and potential disputes.
- Review and negotiate tender and contractual terms at the pre-award stage, identify legal and commercial risks, and recommend appropriate revisions to protect the Group’s interests.
- Provide post-award legal support on contract interpretation, performance issues, variations, extensions, breaches, terminations, early-stage conflicts, dispute avoidance and resolution.
- Assist in managing litigation, arbitration, claims and other dispute resolution matters, including preparing legal correspondence, pre-litigation notices, case documents and strategies, and coordinating with business units and external counsel.
- Provide legal support on internal governance matters, including reviewing management and board papers, coordinating legal inputs for senior management submissions, and preparing legal and litigation status updates.
- Manage the engagement and delivery of services by external legal advisors, including providing instructions, coordinating information, monitoring advice and progress, and liaising with internal stakeholders.
- Act as a key legal business partner to assigned business units by participating in business discussions, client negotiations and cross-functional working groups, and supporting legal training and awareness initiatives.
- Contribute to the continuous improvement of legal templates, contract review checklists and processes, and undertake other legal and commercial assignments as directed by the Deputy General Counsel / General Counsel.
Requirements
- Bachelor’s Degree in Law or equivalent professional qualification.
- Admitted to the Malaysian Bar or relevant professional body.
- Minimum 8-10 years of relevant post-qualification experience in commercial, corporate or operational legal practice.
- Strong experience in commercial contract drafting, review and negotiation, preferably within a corporate, infrastructure, engineering, facilities management or related environment.
Skills Required
- Bachelor’s degree in Law (LL.B) or equivalent professional legal qualification
- Admission to the Malaysian Bar or equivalent professional legal qualification recognized in the relevant jurisdiction
- 5–8 years of relevant legal experience
- Experience with corporate, commercial, contract, operations, intellectual property, and IT matters
- Strong contract drafting, review, and negotiation experience, including commercial, procurement, service, and technology agreements
- Knowledge of Malaysian laws, contractual principles, corporate governance, and regulatory requirements
