Corporate & Compliance Counsel

Commerce, named a 2025 "Best Place to Work" in Austin, is looking for a Corporate & Compliance Counsel.
What You’ll DoHelp lead and manage the company’s regulatory compliance and legal reporting functions for a public company, including oversight of global laws and regulations (e.g., U.S. securities laws, exchange listing rules, data protection/privacy, ESG/disclosure obligations).
Act as a strategic legal partner to the business, providing counsel in a high-growth, globally-oriented public company environment with a strong business-partner mindset.
Manage the company’s public company reporting and disclosure obligations, including periodic filings (10-K, 10-Q, 8-K, proxy statements), real-time disclosures, annual meeting materials and required exchange/trading disclosures.
Drive continuous improvement of the disclosure process and internal controls over financial and non-financial reporting, working with finance, internal audit, external auditors, and operational teams.
Design, implement and maintain robust compliance programs (policies, training, monitoring, audits) covering business ethics, anti-corruption, data privacy/security, OFAC/sanctions compliance, insider trading, ESG and other relevant domains.
Provide practical, actionable legal guidance to cross-functional teams (e.g., product, marketing, technology, HR, sales) on emerging legal and regulatory risks (including AI/ML, cybersecurity/data use, privacy, IP, employment/labor issues).
Foster strong working relationships at all levels of the organization, including outside counsel and external advisors, to promote timely use of internal legal resources and embed a proactive compliance culture.
Enhance the company’s corporate governance practices, working closely with the General Counsel, Board of Directors (and committees) and internal stakeholders.
Direct the preparation, review, negotiation and execution of a broad range of corporate agreements and transactions (e.g., capital markets/financing, licensing).
Juris Doctor (J.D.) from an accredited law school, and active membership in at least one U.S. state bar.
Minimum 4-6 years of legal experience (in-house or law firm) advising publicly traded companies, with a record of increasing responsibility in securities, reporting, governance and compliance.
Demonstrated experience managing SEC and stock exchange reporting (10-Ks, 10-Qs, 8-Ks, proxies), disclosures, and working with audit/finance teams.
Strong corporate and securities law background (transactional, governance, capital markets experience) plus familiarity with global regulatory regimes (data privacy, anti-corruption, trade, ESG).
Excellent commercial judgment, able to translate complex legal/regulatory issues into clear, actionable guidance for business stakeholders.
Highly organized, detail-oriented with a strong quality-control mindset; proven ability to manage multiple priorities and projects in a dynamic, fast-paced environment.
Superior interpersonal, communication and negotiation skills; able to build credibility with senior business leaders, board members and external advisors.
Comfortable working both independently and in a collaborative team environment; adaptable, flexible thinker, and resourceful in solving challenging issues.
Preferred: experience with emerging risks such as AI/ML.

The exact salary will be dependent on the successful candidate’s location, relevant knowledge, skills, and qualifications.
