The role
Raydar is recruiting for this role on behalf of our client. Handle corporate transactional matters for business clients, working closely with partners from the start. The work covers drafting, negotiating and closing deals, as well as ongoing outside counsel support for clients.
What you'll do
- Draft, negotiate and close mergers and acquisitions and equity financing transactions.
- Work directly with partners on client matters with real responsibility and mentorship.
- Act as outside general counsel for younger companies on day-to-day corporate needs.
- Manage transactional due diligence and keep capitalization tables current.
- Communicate with clients regularly and guide them through fundraising rounds and complex corporate transactions.
Requirements
What we're looking for
- 3 to 5 years of hands-on corporate transactional experience at a law firm, in M&A and/or equity financings, beyond peripheral exposure.
- Working knowledge of SAFEs, convertible securities and preferred stock issuances.
- A track record advising early-stage companies that raise outside investment.
- Skill in due diligence and in contract drafting and negotiation.
- Juris Doctor from an accredited law school.
- Active bar admission in any U.S. state, and willingness to obtain North Carolina licensure.
- Personable, collaborative communication style and comfort working directly with partners.
- A genuine interest in the innovation economy and a clear reason for wanting to work in the area.
- Ability to work hybrid from the office.

Compensation and benefits
- Base salary: USD 170,000 to 215,000 per year
