Contracts & Risk Manager, Risk & Project Management Office

We are seeking a Contracts and Risk Manager to oversee our DocuSign Contracts Lifecycle Management (CLM) platform and ensure efficient contract management throughout the organization. This pivotal role requires a seasoned AEC professional with substantial experience in identifying legal and insurance risks within contract language. The Contracts and Risk Manager will be instrumental in reviewing and marking up contracts for risk mitigation, generating Subconsultant agreements and amendments, and collaborating with business leaders during negotiations and contract execution. This position also involves coordinating with professional insurance carriers and legal counsel on claims.
While this role can be performed remotely, candidates must be located on the West Coast to accommodate Pacific Time Zone business hours. Candidates located in the following California areas are preferred: Sacramento, Bay Area, Los Angeles, Orange County, or San Diego, due to the need for occasional in-office meetings and trainings.
Job Responsibilities:
  • CLM Platform Management: Manage and operate the DocuSign CLM platform to ensure timely and efficient project contract reviews and the generation of Subconsultant agreements and amendments.
  • Contract Review and Risk Assessment: Thoroughly analyze project contracts for potential legal, insurance, and financial risks, providing clear and actionable markups and recommendations for risk mitigation.
  • Subconsultant Agreement Management: Prepare and manage Subconsultant agreements and amendments, ensuring compliance with prime contract terms and company policies.
  • Negotiation Support: Collaborate with business leaders throughout contract negotiations, providing expertise on risk and contractual terms.
  • Claims Coordination: Coordinate with professional insurance carriers and legal counsel on contract-related claims, facilitating efficient resolution.
  • Policy and Process Development: Contribute to the development and implementation of contract management policies, procedures, and best practices.
  • Training and Support: Provide training and support to internal teams on contract management processes and the use of the CLM platform.
  • Reporting and Compliance: Generate contract management reports and ensure compliance with relevant legal and regulatory requirements.
Education:
  • Bachelor's Degree: A Bachelor's in Business Administration, Law, Civil Engineering, Construction Management, or a closely related field is required or equivalent experience.
Preferred Qualifications:
  • AEC industry legal, risk, and corporate insurance experience, ideally in California.
  • Relevant certifications such as Certified Professional Contracts Manager (CPCM) or similar.
  • Advanced degree in a related field (e.g., Master's in Business Administration, Juris Doctor).
Knowledge/Skills:
  • Experience: Minimum of 5-10 years of experience reviewing, drafting, and negotiating contracts, with a strong emphasis on legal and claims risk management within the AEC (Architecture, Engineering, and Construction) industry.
  • AEC Legal and Risk Expertise: Comprehensive understanding of contract law principles, professional liability and other insurance policies common in the AEC sector, risk management methodologies, and relevant federal, state (especially California), and local AEC regulations.
  • CLM Proficiency: Proven expertise in managing and utilizing Contracts Lifecycle Management (CLM) platforms, preferably DocuSign CLM. Proficiency in other relevant technologies is a plus.
  • Analytical and Problem-Solving Skills: Exceptional analytical abilities to proactively identify potential contractual, legal, and financial risks and develop effective mitigation strategies. Demonstrated ability to solve complex issues related to contract interpretation and compliance.
  • Communication and Collaboration: Excellent written and verbal communication skills, including the ability to clearly articulate complex legal and contractual concepts to diverse audiences. Proven ability to collaborate effectively with internal teams (project managers, business development, finance), external partners (clients, subcontractors), legal counsel, and insurance providers.
  • Attention to Detail and Compliance: Meticulous attention to detail with a strong commitment to accuracy and ensuring compliance with all contractual obligations, company policies, and relevant regulations.
  • Organizational and Time Management Skills: Demonstrated ability to effectively manage multiple contracts and projects simultaneously, prioritize tasks, and meet demanding deadlines in a fast-paced environment.
Compensation & Benefits:
Salary range: $110,000 - $145,000 annually, commensurate with experience, qualifications, and standards within the AEC industry in California.
