The Contracts Negotiator is primarily responsible for complex negotiations related to customer contracts including, but not limited to, master services agreements, subscription agreements and SaaS agreements. In addition, they will assist with vendor, supplier and partner agreements, and play a role in updating company legal templates, and creating/maintaining legal playbooks outlining the contractual review and negotiation processes and setting out options to handle common deviations from our standard terms.


This role will collaborate closely with Commercial Strategy, Sales Operations, Legal, Procurement and internal subject matter experts to ensure downstream organizational compliance after conclusion of a customer or supplier negotiation. This critical, customer-facing role will work internally with stakeholders to obtain business or operational approvals, verify language modifications, and otherwise provide guidance to internal stakeholders regarding various negotiations.

What You’ll Do

  • Review, redline, negotiate and manage complex SaaS contracts related to the sale of the Workiva Platform, with an aim towards ensuring limited exposure while driving targeted business growth

  • Review and negotiate NDAs, Data Processing Agreements, vendor service agreements, and related commercial contracts, addendums, amendments, and exhibits.

  • Draft and manage internal legal policies and negotiation playbooks (including libraries of clauses and rebuttals).

  • Contribute to company legal template updates.

  • Provide legal support to the sales team and liaise with subject matter experts on matters relating to data privacy, intellectual property, information security and regulatory compliance.

  • Coordinate and manage internal discussions about any given negotiation by explaining the impact of customer edits to stakeholders, legal leadership and sellers.

  • Communicate with leadership about the state and stage of any given negotiations, and escalate negotiations to leadership as needed.

  • Work directly with customers and suppliers to negotiate appropriate solutions for contractual impasses.

  • Seek and obtain approvals from legal and business managers, and independently interpret and implement such approvals into the negotiated document

  • Train and enable internal teams (e.g., Commercial Strategy, Sales Operations, Procurement) on successful approaches in a given negotiation scenario.

  • Oversee complex and special projects as they arise including, but not limited to, corporate development, contract due diligence, contractual audits.

  • Issue-Spot sensitive legal and business concerns, and proactively propose solutions


What You’ll Need 

Minimum Qualifications 

  • Typically requires 4 years of experience in contract drafting, negotiating, structuring and administering complex SaaS master services agreements, subscription agreements and related collateral preferred

  • Undergraduate Degree or equivalent combination of education and experience in a related field.

Preferred Qualifications

  • In depth knowledge of SaaS agreement components

  • Some familiarity with data privacy agreements and relevant privacy regulations

  • Pre-law, legal coursework, contract drafting certifications a plus

  • Ability to interpret complex legal provisions

  • Ability to exhibit a high level of confidence, business-oriented pragmatism, and respect for confidentiality.

  • Superb organizational skills, with the ability to manage multiple projects, processes, priorities, and stakeholders while simultaneously working under pressure to meet deadlines, company goals and team initiatives.

  • Excellent verbal, written, and interpersonal communication skills, with the ability to explain complex legal issues in an easily accessible manner.

  • A highly approachable, collegial and collaborative approach, with a willingness to pitch in and support colleagues (no job is too big or too small).

Travel Requirements & Working Conditions

  • Some travel for training and team meetings may be required

  • Reliable internet access for any period of time working remotely and not in a Workiva office

How You’ll Be Rewarded

✅ Salary range in the US: $111,000.00 - $178,000.00

✅ A discretionary bonus typically paid annually

✅ Restricted Stock Units granted at time of hire

✅ 401(k) match and comprehensive employee benefits package

The salary range represents the low and high end of the salary range for this job in the US. Minimums and maximums may vary based on location. The actual salary offer will carefully consider a wide range of factors, including your skills, qualifications, experience and other relevant factors.
