The Contract Administrator provides contract administration, legal operations, and compliance support to the Legal Department. This role independently reviews, drafts, negotiates, and administers routine agreements; maintains legal and contract records; supports corporate governance and compliance initiatives; and coordinates contract-related processes across the organization. Responsibilities:

  • Review, draft, negotiate, and administer non-disclosure agreements (NDAs) and other routine commercial and legal agreements within established approval guidelines.
  • Prepare, revise, proofread, and format legal documents for attorney review and final execution.
  • Maintain and administer contract lifecycle management systems, legal records, and contract databases, including customer contracts, vendor agreements, employment agreements, and leases.
  • Track contract renewals, amendments, expirations, and other key contractual obligations to ensure timely action and compliance.
  • Review certificates of insurance (COIs), endorsements, and related documentation to support risk mitigation efforts.
  • Complete customer representations, certifications, and related compliance documentation.
  • Support government contracting activities, including review of contract requirements, representations and certifications, subcontract documentation, and related compliance obligations.
  • Support corporate governance activities and assist with merger and acquisition due diligence projects.
  • Respond to subpoenas and other legal requests for production of records.
  • Assist attorneys with collections, claims management, and related legal matters.
  • Verify international business partners against U.S. government sanctions lists and other compliance requirements.
  • Provide administrative support and complete special projects as assigned.
Qualifications

Required Experience and Skills:

  • Bachelor's degree in Legal Studies, Business Administration, Paralegal Studies, Public Administration, or a related field required.
  • 3-5 years of relevant legal, contracts, paralegal, corporate administrative, or government contracting experience.
  • Experience drafting, reviewing, and negotiating routine contracts and legal agreements.
  • Experience tracking contract renewals, amendments, expirations, and other contractual obligations throughout the contract lifecycle.
  • Demonstrated ability to work independently and exercise sound judgment with limited supervision.
  • Ability to identify contract risks, recognize non-standard terms, and escalate issues appropriately for legal review.
  • Working knowledge of contract administration principles, legal terminology, and contract documentation processes.
  • Proficiency with Microsoft Office Suite, including Word, Excel, and Outlook.
  • Experience using SharePoint, Adobe Acrobat, contract lifecycle management (CLM) systems, and document management systems.
  • Strong organizational and time management skills with the ability to manage multiple priorities and deadlines.
  • Exceptional attention to detail and commitment to accuracy.
  • Strong analytical, problem-solving, and critical-thinking skills.
  • Excellent written and verbal communication skills.
  • Ability to maintain confidentiality and handle sensitive information appropriately.
  • Georgia Notary Certification preferred or ability to obtain certification within six (6) months of hire.

  • Familiarity with corporate governance and corporate legal department operations preferred.

Work Conditions:

  • Hybrid work environment with a combination of office-based and remote work.
  • Work requires prolonged computer use, document review, and management of multiple concurrent projects.
