INTRODUCTION

This role is required to address the need for compliance with dentsu’s Code of Conduct and key policies and culture of decision-making in the Market/Cluster they are assigned.

ROLE PURPOSE

The purpose of this role is to

  • Implement an effective ethics and compliance program for dentsu's Market/Cluster, aligned to the global Ethics and Compliance program strategy and regional Ethics and Compliance priorities
  • Collaborate with Market/Cluster leadership in conjunction with the General Counsel, to foster an ethical culture
  • Embed an effective and strong ethics and compliance program and ethical culture within dentsu’s ways of working and decision-making.

KEY ACCOUNTABILITIES

RESPONSIBILITIES

  • Implements, manages and prioritises ethics & compliance program activities and initiatives for Markets/Cluster
  • Effectively partners with Markets/Cluster senior management in collaboration with the General Counsel, Market/Cluster, to foster an ethical culture through appropriate communication and demonstration of ethical and compliance standards aligned with dentsu’ Code of Conduct and policies
  • Conducts compliance risk assessments in each market - works with internal functions and market senior management to help identify, and assess compliance risks, develop, report and monitor mitigation actions
  • Contributes to the enterprise risk management process
  • Conducts internal investigations of alleged Code of Conduct and policy breaches, monitors the execution of disciplinary actions and remediation activities
  • Conduct risk-based ethics and compliance training for increased understanding and improved decision making aligned with dentsu’s Code of Conduct and key policies
  • Collaborate with Communications team to provide regular and timely ethics and compliance related communication in consultation with the General Counsel, Market/Cluster
  • Operationalize key policies (e.g. Anti-corruption, Gift and Hospitality and Conflicts of Interest Policies) and embed relevant processes including red flag identification and resolution within the business processes and decision-making
  • Lead and facilitate the implementation of the Ethics & Compliance Agenda of the Risk and Compliance Committee meetings and follow through on actions arising
  • Implement dashboards, scorecards and presentations to highlight ethics and compliance gaps and to highlight good practice
  • Responds to compliance related queries from staff, management and Legal and Compliance colleagues including supporting responses to client inquiries
  • Supports M&A, compliance due diligence process and integration activities
  • Supports global and EMEA regional ethics and compliance initiatives and contributes to global and regional program strategy and priorities.
  • Support Affiliates Controller (Global Clients Team), in the implementation and promotion of Dentsu policies and processes.
  • Have a very clear understanding of the business and contracting environment across all service lines. Clients, Media Owners and Producers. (Clients , Media, Pre-agreements), to enable the identification of gaps and recommend appropriate controls.

PERSON SPECIFICATION

SKILLS REQUIRED/OPTIONAL

  • Process orientation, skills to effectively design, develop and implement compliance and relevant business processes, controls, and workflows
  • Excellent communicator and team player, someone with a collaborative style of working
  • Strong project management skills
  • Experience in implementing Ethics & Compliance program
  • Experience in conducting complex internal investigations 
  • Strong business acumen and extensive experience dealing with and influencing senior stakeholders.
  • Solution oriented, with a hands-on mind set
  • Strong written, verbal and presentation skills
  • Ability to prioritise complex and often interrelated tasks
  • Bachelor degree, preferably in Finance or Legal
