Join our team as a Commercial Legal Counsel and play a pivotal role in driving business growth and sustainability. You'll collaborate with global teams across sales, account management, engineering, product, and strategic sourcing, providing expert legal guidance that informs business decisions and mitigates risk. Your expertise will help shape the future of our business, ensuring we continue to succeed while navigating complex commercial landscapes.
While the majority of your focus will be on business activities in North America, this is a global role in which you’ll advise on contracts and commercial legal issues across all Coates markets. Some working hours flexibility may be needed to accommodate timezones.
This role will suit someone looking to leverage their skills in a business partner capacity. As we navigate a period of significant growth and development, your ability to think through commercial legal issues in a logical and pragmatic way will be crucial. You will provide valued guidance to the business by articulating risks and options clearly, ensuring our growth and development is on a commercially and legally sound footing.
Responsibilities:
- Contract Management:
- Draft, review, and negotiate a variety of commercial agreements, including customer contracts, vendor agreements, and NDAs.
- Develop and maintain standardized templates and a precedent library to streamline contract processes and improve efficiency.
- Track key contractual obligations and milestones post-signature to ensure compliance and minimize disputes.
- Legal Advisory:
- Act as a trusted advisor on commercial and legal matters, balancing business objectives with risk management.
- Provide timely and practical legal advice to support decision-making and organizational goals.
- Establish and communicate clear risk principles and guidelines to align the company’s legal approach with business priorities.
- Process Improvement:
- Develop and implement legal processes to enhance efficiency and ensure quality in contract and risk management.
- Foster a culture of compliance and legal awareness across the organization.
Qualifications & Experience:
- Juris Doctor (JD) or equivalent law degree, with active admission to the bar in a US state or other common law jurisdiction.
- 3 – 5 years of relevant experience, ideally in-house within a technology company or at a commercial law firm.
- Proficiency in drafting and negotiating contracts, with expertise in commercial and intellectual property laws, particularly related to technology and software licensing.
- Proven ability to manage multiple projects, prioritize effectively, and deliver results in a dynamic environment.
- Experience working with diverse internal and external stakeholders.
