WHAT YOU'LL BE DOING:
Ampersand is seeking a corporate generalist to join the Ampersand legal team and provide legal counsel on a variety of business and transactional matters. This position will report to the General Counsel and will be based in New York City.
We seek a Commercial Counsel who is committed to achieving business objectives in a timely manner. This is a fast-paced environment that requires a "hands on" approach without heavy dependence on outside counsel. The ideal candidate must be a resourceful, collaborative team player who possesses the ability to work independently in a small legal department within a cross-functional environment.
The focus of the Commercial Counsel will include commercial agreements, services and vendors agreements as well as corporate governance matters.
HOW YOU'LL BE CONTRIBUTING:

  • Drafting, reviewing and negotiating commercial agreements, such as non-disclosure agreements, marketing sponsorship agreements, vendor agreements, lease extensions, etc.
  • Working on a diverse set of legal issues involving day-to-day transactions, including regulatory matters, compliance, intellectual property and real estate/facilities.
  • Providing high quality, timely and practical legal advice and support, identifying and resolving critical legal and business issues arising from various transactions and business matters across the Company.
  • Developing processes and procedures to improve legal support for the business units and general business counseling.
  • Assisting in managing the Company's contract management system.
  • Performing other tasks and assignments as needed and specified by management.


WHAT YOU'LL BRING TO THE TABLE:

  • J.D. from an accredited law school.
  • Member of the New York Bar in good standing preferred or willingness/qualified to be registered In-House Counsel required.
  • Minimum of 2-3 years legal experience, preferably in commercial transactions.
  • Ability to expeditiously identify and analyze issues and provide legally sound recommendations consistent with good business practices and reason.
  • Strong interpersonal skills, and ability to interact effectively and work diplomatically with individuals at all levels.
  • Ability to foster relationships and individual accountability across the organization.
  • Excellent written and oral communication skills.
  • Strong drafting, organization and time management skills and attention to detail.
  • Ability to identify opportunities for improvement and to facilitate the implementation of creative solutions.
  • Ability to work independently, take ownership of and effectively resolve problems.
  • Excellent work ethic and interpersonal skills, including a healthy sense of humor and the ability to build professional interdepartmental relationships at multiple levels.
  • Flexibility and willingness to meet the business needs, often in a time-sensitive manner.
  • Willingness to research and gain a deep understanding of regulations and requirements impacting the retail business and converting that knowledge into practical guidance for the business units.
  • Previous legal experience in a firm or in-house is valued but not required.
  • Previous experience in ad tech is valued but not required.

Salary Range Disclaimer
The base salary range below represents the low and high end of the Ampersand salary range for this position in the New York City Metro Area. Please note that the salary range provided is a good faith estimate on the applicable range. Actual salaries will vary depending on factors including, but not limited to, experience and performance
The range listed is just one component of Ampersand's total rewards package for employees. Other rewards may include discretionary annual bonuses and / or overtime, commission, etc., as well as competitive benefits including PTO, medical & dental & vision benefits, 401K with employer match, short & long-term disability, basic life insurance, tuition reimbursement, pre-tax commuter benefits & flexible spending accounts.
Salary Range Transparency
This role has a New York City Metro Area base salary range of $105,000-$125,000 and discretionary annual bonus.
