The Role

Sales & Customer Contracting
Draft, review and negotiate customer-facing commercial agreements, including master services agreements, terms and conditions, statements of work, purchase orders, and amendments
Partner closely with Sales and Sales Operations teams throughout the deal lifecycle to support efficient deal execution
Advise on contract structure, pricing-related terms, liability allocation, indemnities, warranties and termination provisions
Help resolve deal-specific issues and escalations to streamline customer relationships
Procurement & Supply Chain Contracting
Draft, review and negotiate supplier, vendor, and procurement-related agreements, including supply agreements, services agreements, manufacturing, logistics, and distribution contracts
Advise Procurement, Supply Chain, and Operations teams on contract risk, continuity of supply, performance standards and commercial protections
Support sourcing initiatives, vendor onboarding and supplier risk management processes
Help manage legal risk across pricing, volume commitments, exclusivity, termination, and change-in-law provisions
Commercial Risk Management & Contract Lifecycle Management
Identify and manage legal and commercial risk across both customer-facing and supplier-facing agreements
Ensure alignment between sales and procurement contracts where appropriate
Partner with Finance and Internal Audit to ensure contracts align with company policies, approval frameworks, and internal controls
Support implementation and optimization of contract lifecycle management tools and processes
Business Partnership & Legal Operations
Serve as a trusted legal advisor to cross-functional stakeholders, including Sales, Procurement, Supply Chain, Operations and Finance
Develop and maintain contract templates, playbooks, and fallback positions for both sales and procurement agreements
Provide training and guidance to business teams on contracting processes, risk awareness, and negotiation best practices   
 

Responsibilities

Qualifications

Juris Doctor (J.D.) from an accredited law school
Active license and good standing to practice law in at least one U.S. jurisdiction (Tennessee preferred)
5-7 years of relevant legal experience, with experience supporting both commercial sales and procurement/supply chain matters
Demonstrated ability to independently draft and negotiate a wide range of commercial agreements
Prior in-house experience partnering directly with sales, procurement or operations teams (preferred)
Strong business judgment and ability to assess and communicate risk in practical, non-academic terms
Excellent written and verbal communication skills
Experience in a fast-paced environment
Ability to manage multiple matters and competing deadlines in a fast-paced environment

Base salary range: $159,880 to $205,559/year

Please note that the salary range provided is a good faith estimate on the applicable range. The final salary offer will be determined after considering relevant factors, including a candidate’s qualifications and experience, where appropriate. 

Compensation and Benefits 

Base salary rate commensurate with experience. Additional benefits vary between locations and include options such as our 401(k) Retirement Savings Plan, Medical/Dental/Life Insurance, Health Savings Account, other personal and professional benefits.
