The Board Liaison to the Chief Legal Officer serves as the primary coordinator for Board of Directors and committee governance activities, partnering closely with the CLO, Corporate Secretary, Board members, and senior leadership. This role is heavily focused on Board administration, governance processes, and executive-level stakeholder coordination, with limited executive support responsibilities. The successful candidate will bring demonstrated experience supporting Board operations, governance activities, or corporate secretary functions within a complex organizational environment. This role will report to the Chief Legal Officer.

The Board Liaison & Executive Assistant to the Chief Legal Officer will:

  • Serve as a primary liaison and coordinator for Board of Directors and committee activities involving the CLO and Corporate Secretary.
  • Coordinate the development, collection, review, formatting, and timely distribution of Board and committee materials.
  • Maintain governance calendars and track key deliverables, deadlines, and follow-up activities.
  • Partner closely with Legal, Compliance, Internal Audit, Executive Compensation, Corporate Secretary, and other business leaders to support Board and executive meeting preparation.
  • Prepare presentations, agendas, correspondence, reports, and other executive communications for internal and external stakeholders.
  • Maintain Board records, meeting documentation, and governance-related materials in accordance with established practices.
  • Support Board portal administration, including document posting, version control, and access management.
  • Track action items and commitments resulting from executive and Board meetings and facilitate timely follow-through.
  • Identify and implement opportunities to improve processes, organization, and communication across the Corporate Affairs team, under the CLO
  • Provide executive-level administrative support to the Chief Legal Officer, including calendar management, meeting coordination, travel arrangements, and preparation of briefing materials.

Required Qualifications

  • Bachelor's Degree or equivalent combination of education and experience.
  • 5+ years of experience supporting Board of Directors, committee administration, corporate governance, Corporate Secretary functions, or executive leadership.
  • Demonstrated experience supporting Board of Directors, committee administration, corporate governance processes, or Corporate Secretary functions.
  • Experience maintaining governance records and supporting Board-related communication processes.
  • Experience coordinating Board materials, meeting logistics, governance calendars, and Board-related deliverables.
  • Experience working with senior executives, Board members, and cross-functional leadership teams.
  • Exceptional organizational and project management skills with the ability to manage competing priorities and deadlines.
  • Strong written and verbal communication skills.
  • Demonstrated ability to handle highly sensitive and confidential information.
  • Advanced proficiency in Microsoft Office applications, including Outlook, Word, Excel, PowerPoint, and Teams.

Preferred Qualifications

  • Experience supporting a Chief Legal Officer, General Counsel, Corporate Secretary, Board of Directors.
  • Experience working within a publicly traded, healthcare, financial services, or other highly regulated organization.
  • Familiarity with Board portals and governance workflows.
  • Experience managing Board books, meeting materials, and governance documentation.
  • Knowledge of corporate governance, Board administration, legal operations, or compliance practices.

Additional Information

Work Environment

  • This position supports Board of Directors, committee, and executive leadership activities that may occur outside traditional business hours. Flexibility is required to accommodate Board meeting schedules, governance deadlines, and other business-critical priorities.
  • Hybrid work arrangement with a minimum of three days per week onsite in Louisville, KY.
  • Occasional domestic travel (approximately 4-6 times annually) may be required to support Board meetings, governance activities, leadership meetings, and other business needs.

The compensation range below reflects a good faith estimate of starting base pay for full time (40 hours per week) employment at the time of posting. The pay range may be higher or lower based on geographic location and individual pay will vary based on demonstrated job related skills, knowledge, experience, education, certifications, etc.
