Backed by private equity ownership, JobNimbus operates as an LLC, providing innovative, industry-specific software solutions to help businesses streamline operations, improve efficiency, and drive innovation. As part of our team, you’ll play a key role in navigating the legal complexities of a private equity-backed business, supporting the company’s strategic growth initiatives, and ensuring compliance across all areas of operations.

What you’ll be doing:

• Contact Management
  • Draft, review, and negotiate commercial contracts, including SaaS agreements, vendor agreements, NDAs, and licensing agreements.
  • Ensure contracts align with business objectives and comply with company policies and legal standards.
• Corporate Governance and LLC Management
  • Maintain corporate records, LLC operating agreements, and compliance with governance requirements specific to private equity-backed LLCs.
  • Support preparation of board and investor communications, including board resolutions and consents.
• Regulatory Compliance
  • Monitor and advise on applicable laws, regulations, and industry standards affecting SaaS and data privacy (e.g., GDPR, CCPA).
  • Assist in developing compliance programs and policies to mitigate risks.
• Equity and Incentive Compensation Administration
  • Support the management of equity-based and incentive compensation plans, including administration of profits interests, phantom equity, and other LLC-specific structures.
  • Ensure compliance with plan documents, LLC operating agreements, and relevant tax and regulatory requirements.
• Private Equity Support
  • Collaborate with private equity sponsors and management on legal matters related to financing, reporting, and other PE-related transactions.
  • Assist with due diligence and legal documentation for M&A or other strategic transactions.
• Intellectual Property
  • Support the protection of JobNimbus’ IP portfolio, including trademarks, copyrights, and licensing agreements.
  • Address IP-related disputes or claims as needed.
• Risk Management
  • Identify and mitigate potential legal risks in business operations.
  • Assist in developing policies and procedures to support compliance and risk mitigation efforts.
• Employment and HR Support
  • Advise on employment-related matters, including employee agreements, policies, and terminations.
  • Ensure compliance with applicable labor and employment laws, including multi-state requirements.
• Dispute Resolution and External Counsel Management
  • Manage pre-litigation matters and work with external counsel on litigation and dispute resolution as necessary.

• Cross-Functional Collaboration
  • Work closely with finance, HR, product, and sales teams to ensure legal alignment with business objectives.
  • Provide training to employees on legal and compliance topics, such as data privacy, contract management, and intellectual property.

What makes you the hero for this job:

• Education
  •  Juris Doctor (J.D.) degree from an accredited law school.
• Experience

• 4-7 years of legal experience, preferably in a law firm or in-house role. 
• Experience with private equity, LLC structures, SaaS, or technology companies is highly desirable.

• Bar Admission 
  • Licensed and in good standing with at least one state bar.
• Strong understanding of SaaS business models, LLC governance, and private equity ownership dynamics.
• Familiarity with equity compensation in LLC structures, including profits interests and phantom equity plans.
• Knowledge of data privacy laws and compliance frameworks (e.g., GDPR, CCPA).
• Exceptional attention to detail, organizational skills, and ability to manage multiple priorities in a fast-paced environment.
• Collaborative mindset with a proactive and solution-oriented approach.
