About the role

This role reports directly to the Chief Legal and Administrative Officer and serves as the primary architect of our global corporate governance and organizational framework. Your mission is to ensure that as we scale, our international footprint is built on a compliant, resilient, and strategically aligned foundation. While you will provide high-level legal oversight for strategic acquisitions and partnerships, your core focus will be the long-term governance and structural integrity of our global entities. You will work with the executive leadership team to design multi-jurisdictional governance models, navigate the complexities of international law, and manage the varied and unique governance considerations of a large-scale development company. 

Responsibilities

Multi-Jurisdictional Governance & International Law 

  • Corporate Architecture: Oversee our corporate governance, ensuring total compliance with local laws and investment regulations. 
  • Entity Optimization: Design legal structures for business units to optimize for regulatory compliance, risk allocation and tax efficiency across diverse jurisdictions. 
  • Board & Stakeholder Management: Establish and maintain governance protocols for boards and leadership teams. 

Strategic M&A and Acquisitions (Growth Support) 

  • Lifecycle Oversight: Support the legal execution of domestic and international acquisitions . 
  • Risk Evaluation: Evaluate regulatory risks, safety records, and nuclear liability frameworks, including the Price-Anderson Act and IAEA conventions. 
  • Integration Governance: Partner with Business Operations to ensure seamless post-acquisition hand-offs and the compliant transfer of nuclear licenses. 

Joint Ventures and Strategic Partnerships 

  • Partnership Frameworks: Draft and negotiate complex subsidiaries and partnerships. agreements and consortium arrangements for large-scale nuclear projects. 
  • Partnership and Joint Venture Stewardship: Serve as the primary legal arbiter for governance of company partnerships and joint ventures, managing partner relations, IP sharing protocols, and exit strategies. 

Experience

  • Legal Credentials: A J.D. from an accredited law school and active membership in at least one state bar. 
  • Experience: 10+ years of legal experience, ideally with a background in a top-tier law firm followed by in-house leadership in a highly regulated, global industry (e.g., Energy, Aerospace, Defense, or Infrastructure). 
  • Governance Expertise: A deep track record in managing multi-jurisdictional corporate structures. You understand how to maintain compliance across different legal systems without sacrificing operational speed. 
  • Transactional Fluency: Experience leading or supporting complex M&A and Joint Venture negotiations, particularly those involving cross-border assets and intricate regulatory hurdles. 
  • Labor Relations: Significant experience navigating unionized environments and industrial labor relations; you understand the legal and cultural nuances of CBAs and successorship. 
  • Regulatory Navigational Skills: Familiarity with international investment regulations (CFIUS) and a proven ability to master complex regulatory frameworks quickly. 
  • Strategic Presence: The ability to move seamlessly from "black-letter law" to "executive strategy." You are comfortable providing clear, decisive counsel to C-Suite leaders under high-pressure conditions.

Estimated Starting Salary Range
The estimated starting salary range for this role is $176,000-$204,000 annually less applicable withholdings and deductions, paid on a bi-weekly basis. The actual salary offered may vary based on relevant factors as determined in the Company’s discretion, which may include experience, qualifications, tenure, skill set, availability of qualified candidates, geographic location, certifications held, and other criteria deemed pertinent to the particular role.
