Position Purpose: Provides legal services to Beeline to ensure maximum protection of its legal rights; provides strategic guidance, consultation, and support to various internal stakeholders throughout Beeline. This is a fully remote position and can be located anywhere in the Eastern and Central Time Zones of the United States.
Responsibilities:
- Counsel will manage a team of professionals focused on contract management and review and lead various corporate legal initiatives.
- Counsel will serve as a generalist and must be able to succeed in handling wide variety of legal needs generated by various Beeline departments and external sources.
- Counsel is required to negotiate complex contracts and amendments with Beeline’s potential and existing clients, both in the US and abroad. This includes Client and prospect Request for Proposals, new contract initiation and negotiation, existing contract amendments and extensions, data protection agreements and data privacy/data security documents, and additional contract documents.
- This position will interface directly with key Beeline departments including Finance, Client Services, Program Services, Information Security, Relationship Management, and Technical Operations and Sales. Counsel will resolve contract issues with the individual Department leaders and the Beeline General Counsel. Must demonstrate proficiency in identification of contractual provisions impacting Beeline departments and internal communication to resolve issues through approved channels.
- Initiate and implement approved contract negotiation and drafting processes and checklists in accordance with Beeline’s procedures and risk guidelines.
- Negotiate with client and other external contract authorities in a professional and effective manner.
- Draft, review, revise, maintain, update, and negotiate a wide variety of contracts in accordance with company policies and legal requirements as well as company best practices. Must demonstrate proficiency in drafting and negotiating multiple related contracts to achieve overall cohesiveness of contract objective and scheme. Examples of contracts include client service agreements, vendor and service provider agreements, website terms of use and access agreements, product-specific agreements, data protection agreements, and business relationship agreements.
- Support business teams in addressing legal issues, including contract review and analysis and strategic response support.
- Leverage AI-powered contract review, redlining, and drafting tools to increase efficiency, flag risk provisions, and accelerate turnaround time, while applying independent legal judgment to validate and finalize all AI-assisted output.
- Researching, analyzing, and monitoring applicable laws and engaging with internal business stakeholders to ensure compliance with all laws and regulations that apply to the business.
- Promoting legal and compliance best practice throughout the company.
- Stay up-to-date with changes to legislation, particularly in relation to laws, rules and regulations that directly affect Beeline.
- Work cross-functionally and support teams across the company in executing various compliance initiatives.
Requirements:
- J.D. degree from an American Bar Association accredited law school, be a member in good standing of a State bar, at least 5 years experience in an in-house counsel department or corporate department of a law firm.
- Excellent negotiating and drafting skills.
- Familiarity with, or willingness to learn, AI-powered contract review, redlining, and contract lifecycle management (CLM) tools, and sound judgment to critically evaluate AI-generated contract analysis and recommendations for accuracy and risk.
- Have an ability to comprehend complex legal matters and identify the laws that are applicable to them.
- Have an understanding of global data protection laws and practices.
- Be able to demonstrate exceptional organization and time management skills.
- Have a keen eye for detail coupled with good researching ability.
- Have persuasive internal and external communication skills that will help in building trust and broadening the client base.
- Strong analytical skills relating to contracts and existing laws and their application to business products and practices.
- Ability to communicate complex legal issues and risks in terms that non-legal colleagues can understand.
